Baker McKenzie has provided comprehensive legal advice to Tradias GmbH (“tradias”) on its merger with Boerse Stuttgart Digital Holding GmbH (“Boerse Stuttgart Digital”). This new business unit of the Boerse Stuttgart Group employs approximately 300 people and is an infrastructure provider for cryptocurrencies and digital assets, covering the entire value chain from trading, custody and staking to tokenization.
The complex transaction required the approval of all shareholders. They sold all of their shares to Boerse Stuttgart Digital and received a reinvestment interest in return.
In addition to a wide range of governance matters, Baker McKenzie also advised on the qualifying holding procedure involving the German Federal Financial Supervisory Authority (BaFin) and Deutsche Bundesbank under the Markets in Crypto-Assets Regulation (MiCAR), the German Banking Act (KWG) and the German Investment Firm Act (WpIG). Upon completion of the procedure, the transaction was closed.
