Biography

Manuel Metzner is senior counsel in Baker McKenzie’s Frankfurt office. Prior to joining the Firm, Manuel was counsel at a renowned international law firm, where he practiced in the areas of corporate, M&A, capital markets, financing and financial regulatory for almost 20 years.

Practice Focus

Manuel’s practice focuses on financial regulatory, corporate, M&A and corporate finance. He also regularly advises on capital markets regulation and disclosure matters. A significant part of his work relates to banking, financial, payments, e-money and investment services. Manuel often advises on M&A projects in the financial services space.

  • Advised various financial enterprises, platform enterprises and other companies on new business models involving regulatory aspects (license requirements, organizational requirements, outsourcing, reporting/disclosure obligations).
  • Advises various banks and other obliged entities on money laundering topics.

Corporate, M&A, Joint Ventures, Corporate Finance

  • Advised on the public takeover offer for a German retail group.
  • Advised Haron Holding on public de-listing offer for DFV Deutsche Familienversicherung.
  • Advised Bankhaus Bauer on sale of elf Leasing to DLL.
  • Advised a global financial services and payment services group on the acquisition of a financial services provider.
  • Advised an international investment bank on the acquisition of a payment services provider and a joint venture agreement, as well as advising on the subsequent buy-out of the joint venture partner.
  • Advised Yorkville in connection with equity purchase programs and convertible issue programs for various German stock corporations.
