Leading global law firm, Baker McKenzie, is advising Main Capital Partners (“Main”) on its proposed acquisition of all of the operating businesses and activities of Tribal Group plc (“Tribal Group”), an education software and services group trading on the London Stock Exchange for c £189.3 million (the “Transaction”).
The Transaction constitutes a fundamental change of business for Tribal Group pursuant to AIM Rule 15 and, as a result of Tribal Group having been in receipt of an approach from another potential offeror, it is also deemed a restricted action under Rule 21.1 of the UK Takeover Code and is therefore conditional on, amongst other things, approval by the shareholders of Tribal Group at a general meeting.
Led by London Corporate Partners, James Thompson and Nick Bryans, the Baker McKenzie team has included, among others, fellow Partners Anthony Gamble and Luis Gomez (Antitrust & Competition), Gill Parnell and Jeremy Edwards (Employment & Benefits), and Alistair Craig (Tax) supported by a large team, including senior associates George Ewen, Joanna Lees, Harrison Kirkwood, and associates Emma Burton, Tania Karmeinsky, Abbie Saffron and Tatiana Kalaji.
