Biography
Veronika Nemeth is a corporate partner in Baker McKenzie's San Francisco office. She serves on the Firm's North America Transactional Group Steering Committee and leads the Corporate Reorganizations practice in California. She is also a member of the Firm's Global Reorganizations Steering Committee.
Practice Focus
Veronika has extensive experience assisting companies with the planning and implementation of complex, multi-country corporate reorganization projects, including post-acquisition integrations, business separations and spin-offs, holding company and supply chain restructurings, and entity rationalizations. In addition, she advises clients on establishing operations outside the United States.
Representative Legal Matters
- Advised Intel with respect to the separation and launch of its Programmable Solutions Group into a standalone company called Altera.
- Advised Western Digital on the separation and public spin-off of its Flash business segment into Sandisk.
- Advised Trimble on the USD 2 billion separation and contribution of its precision agriculture business to a joint venture with AGCO Corporation.
- Advised McAfee with respect to the USD 4 billion separation and sale of its Enterprise business to Symphony Technology Partners.
- Advised Nuance Communications with respect to the separation and public spin-off of its automotive technology business into Cerence and the separation and sale of its global imaging technology business to Kofax.
- Advised Intel with respect to the post-acquisition integration of its USD 16.7 billion acquisition of Altera and USD 7.7 billion acquisition of McAfee.
- Advised Autodesk with respect to the post-acquisition integration of Delcam.
- Advised Agilent Technologies with respect to the separation and public spin-off of its electronic measurement business into Keysight Technologies.
- Advised Motorola with respect to the separation and public spin-off of its semiconductor business into Freescale Semiconductor, the separation of its mobile devices business into Motorola Mobility, the sale of its networks business to Nokia Siemens Networks and the sale of its enterprise business to Zebra Technologies.
- Advised Oracle on successive post-acquisition integrations, including following the acquisitions of PeopleSoft, Siebel Systems, Sun Microsystem and BEA Systems.
