Biography

Darcy Down is a partner in Baker McKenzie's Los Angeles office. She advises clients on a wide range of transactional matters, including domestic and cross-border mergers and acquisitions and complex multijurisdictional corporate reorganizations. Darcy also counsels US-based companies across a variety of industries on the management of their overseas operations.

Darcy was recognized as a BTI Client Service All-Star for providing outstanding client service and one of Mergers and Acquisitions' 2024 Most Influential Women in Mid-Market M&A. Darcy is chair of the Firm's North America Transactional Group Talent Management Committee.

Practice Focus

Darcy focuses on domestic and cross-border mergers and acquisitions and complex multijurisdictional reorganizations, including carve-outs, spin-offs, pre-transaction restructurings and post-acquisition integrations and reorganizations.

Representative Legal Matters

  • Advised Los Altos Food Products (a California-based cheese company) on its sale to Sigma Alimentos (a Mexico-based food company). 
  • Advised Alpina Productos Alimenticios S.A. BIC (Colombia-based food company) on its partnership with Clover-Sonoma (US-based dairy company).
  • Advised Monomoy Capital Partners on the divestment of Freidrich Air Conditioning, the acquisition of Edsal Manufacturing, and the acquisition and divestment of MPI, Inc.
  • Advised Spectrum Brands, Inc. as international counsel on the global carve-out and sale of its home and hardware improvement business to Assa Abloy (30 jurisdictions) and its battery and auto care businesses to Energizer (45 jurisdictions).
  • Advised SAP SE as international counsel on the global carve-out and sale of its digital interconnect business to Sinch AB (a Swedish software company) (25 jurisdictions).
  • Advised Wellbore Integrity Solutions (an oilfield services company and an affiliate of private equity firm Rhône Capital) as international counsel on the acquisition and integration of Schlumberger’s DRILCO, Thomas Tools and Fishing & Remedial services businesses (25 jurisdictions). 
  • Advised ICU Medical, Inc. as international counsel on the acquisition and integration of Hospira Inc.’s infusion systems business (30 jurisdictions).
  • Advised Motorola Solutions, Inc. on the acquisition of Avigilon Corporation (a Vancouver-based company that designs, manufactures and markets video surveillance software and equipment).
  • Advised CoreLogic on the acquisition of National Tax Search (a property tax management services) and acted as international counsel on the acquisition and integration of Symbility Solutions (global provider of insurance claims technology).
  • Advised Merck & Co. Inc. on the acquisition of cCAM Biotherapeutics (an Israel-based pharmaceutical company), and acted as international counsel on the acquisition of Cubist Pharmaceuticals, Inc. (a global biopharmaceutical company).
