Biography
Jack McCaw is a senior associate in Baker McKenzie's Real Estate Department. Jack advises clients on hotel, tourism, and infrastructure transactions throughout the United Kingdom and Middle East.
Practice Focus
Jack acts on a wide range of hospitality and commercial real estate matters and has particular experience advising on hotels acquisition, disposal and management transactions, branded residence transactions, mixed-use developments (including those involving strata and other jointly-owned property schemes), and infrastructure transactions.
In addition, Jack advises on real estate aspects of complex, cross-border corporate acquisitions, disposals and carve outs.
Representative Legal Matters
Hotels, Resorts and Tourism
- Advising an international hotel group on the acquisition of a central London luxury hotel (including in respect of branded residences elements of the development).
- Advising a Middle Eastern state-owned entity in respect of a number of luxury branded residence developments within a new giga project.
- Advised on the acquisition of the super luxury Anantara The Palm Dubai Resort located on the world-famous Palm Jumeirah island off the coast of Dubai and re-structuring of the branded residences and managed rental scheme.
- Advised an owner in respect of the suite of hotel management agreements for the opening of an Autograph Collection Hotel in Soma Bay, Egypt.
- Advised a luxury hotel operator on its branded residence developments within the ADGM and DIFC.
Infrastructure
- Advised Colt Technology Services on its acquisition of the EMEA business (fibre networks, subsea cables and data centers) of Lumen Technologies for USD 1.8 billion.
- Advised a landowner on its entrance into documentation for the participation within a UK Freeport to allow for an energy production development.
- Advising a S&P 500 corporation on the development and leasing of solar and hydrogen production facilities.
Corporate Real Estate/ Corporate Occupiers
- Advised DS Smith on the strategic disposal of four of its recycling depots to Veolia.
- Advised Aldar on an AED 2.3 billion (USD 626 million) forward purchase of a premier commercial office and retail tower within the DIFC.
- Advised Sika on the EUR 5.3 billion acquisition of the Master Builder Construction Chemicals (MBCC) Group from Lone Star, including the carve out and divestment of MBCC Group's admixtures business to international private equity investor Cinven.
- Advised Emerson Electric Co. as international counsel on its USD 14 billion sale of a majority stake in its Climate Technologies business to Blackstone.
- Advised Emerson Electric Co. as international counsel on its USD 3 billion sale of its InSinkErator business to Whirlpool Corporation.
Corporate Responsibility
- Attends the City Community Legal Advice Centre advising housing association and council tenants on housing disrepair matters.
- Advised a mental health charity (on a pro bono basis) on its exit and dilapidations negotiations with the landlord.
