Biography

Darcy Down is a partner in Baker McKenzie's Los Angeles office. She advises clients on a wide range of transactional matters, including domestic and cross-border mergers and acquisitions and complex multi-jurisdictional corporate reorganizations. Darcy also counsels US-based companies across a variety of industries on the management of their overseas operations.

Darcy is Chair of the North America Transactional Group Talent Management Committee, and a member of the Global Consumer Goods & Retail Steering Committee and North America Private Equity Steering Committee.

Practice Focus

Darcy focuses on domestic and cross-border mergers and acquisitions and complex multi-jurisdictional reorganizations, including carve-outs, spin-offs, pre-transaction restructurings and post-acquisition integrations and reorganizations.

Representative Legal Matters

  • Advised SAP SE as international counsel on the global carve-out and sale of its digital interconnect business to Sinch AB (a Swedish software company) in over 25 jurisdictions.

  • Advised Wellbore Integrity Solutions (an oilfield services company and an affiliate of private equity firm Rhône Capital) as international counsel on the acquisition and integration of Schlumberger’s DRILCO, Thomas Tools and Fishing & Remedial services businesses in 25 jurisdictions.

  • Advised Spectrum Brands, Inc. as international counsel on the global carve-out and sale of its battery and auto care businesses to Energizer. The transaction spanned over 45 jurisdictions.

  • Advised ICU Medical, Inc. as international counsel on the acquisition and integration of Hospira Inc.’s infusion systems business in over 30 jurisdictions.

  • Advised Motorola Solutions, Inc. on the acquisition of Avigilon Corporation (a Vancouver-based company that designs, manufactures and markets video surveillance software and equipment).

  • Advised Monomoy Capital Partners on the acquisition of Edsal Manufacturing and the acquisition and divestment of MPI, Inc. (US-based manufacturer of fineblanked transmission components).

  • Advised CoreLogic on the acquisition of National Tax Search (a property tax management services) and acted as international counsel on the acquisition and integration of Symbility Solutions (global provider of insurance claims technology).

  • Advised Merck & Co. Inc. on the acquisition of cCAM Biotherapeutics (an Israel-based pharmaceutical company), and acted as international counsel on the acquisition of Cubist Pharmaceuticals, Inc. (a global biopharmaceutical company).

  • Advised Pace Development Corporation PLC, a Thai public limited company, on the acquisition of Dean & Deluca, Inc. (a gourmet food retail chain).

  • Advised The Priceline Group on the acquisition of buuteeq (a US-based hotel internet marketing company).

  • Advised Crane Co. on the acquisition of the MEI Group (a global manufacturer of electronic note acceptors and coin mechanisms).

  • Advised Johnson Controls, Inc. on the global separation of its automotive experience business into a new NYSE-listed company, Adient Inc.

  • Advised Baxter International Inc. on the international aspects of the spinoff of its bioscience business into a new NYSE-listed company, Baxalta Incorporated.

  • Advised Abbott Pharmaceuticals on the international aspects of the spinoff of its pharmaceutical business into a new NYSE-listed company, AbbVie Inc.
