Leading global law firm Baker McKenzie has advised CataCap on the sale to ORIX Aviation of AerFin, the aviation aftermarket specialist that buys, sells, leases and repairs aircraft, engines and parts.

CataCap is a Copenhagen-based private equity firm focused on investments in established mid-market businesses, principally in the Nordic region. The transaction delivers a successful exit to CataCap and the other shareholders of AerFin and brings ORIX Aviation’s global aircraft leasing, asset management and investment platform together with AerFin’s proven aftermarket capabilities and technical expertise.

Baker McKenzie acted as legal adviser to CataCap, advising on all aspects of the transaction. The Baker McKenzie team was led by Private Equity Partners James Adams and Alex Lewis, with support from Senior Associate Kata Szeidovitz, Associates Lucy Wallace and Ailin Cheng and Trainee Eunice Wong. Partner Anthony Gamble advised on merger control and foreign investment matters. Partner Sam Trowbridge and Associate Rob Higgins advised on tax matters.

Commenting on the transaction, James Adams said: “We are very pleased to have advised CataCap on this significant transaction. We worked with CataCap throughout its investment in AerFin, from the original acquisition in 2019 to this exit. The deal reflects our strengths in advising financial sponsors on exits, where we bring together teams across disciplines to manage complex transactions, regulatory approvals and competing priorities.”
