Baker McKenzie advised Crédit Agricole Santé & Territoires on the signing of an agreement for the acquisition of Petits-fils from Clariane. Founded in 2014, Petits-fils is the largest provider of at-home services to the elderly in France. With over 290 agencies, primarily operated as franchises and employing more than 11,000 caregivers, in 2024 the company provided services to nearly 39,000 individuals.
A subsidiary of the Crédit Agricole Group, Crédit Agricole Santé & Territoires aims to structure and expand the group's service offerings in the healthcare sector. Beyond its commitment to improving access to healthcare, the company has invested in supporting well-being in aged-care, particularly in nonmedical housing and at-home services.
The acquisition of Petits-fils would position Crédit Agricole Santé & Territoires as the leading at-home services provider for seniors in France. This transaction would mark a pivotal milestone in its development while creating synergies with other entities within the Crédit Agricole Group.
Pursuant to the agreement signed with Clariane, Petits-fils would be acquired by Crédit Agricole Santé & Territoires for an enterprise value of EUR 345 million, implying an estimated equity value at closing of approximately EUR 255 million.
The Baker McKenzie team was led by Stéphane Davin, partner and head of the M&A practice in Paris, and included the following:
• M&A: Antoine Caillard (senior counsel), Lina Chaif (associate), Jean-Baptiste Herrmann (jurist)
• Competition & Distribution: Léna Sersiron (partner), Olivia Chriqui-Guiot (counsel), Élodie Massin (counsel), Marlène Bourguignon (associate)
• Tech & Data: Rémy Bricard (partner), Magalie Dansac Le Clerc (partner), Floriane Cruchet (senior associate).
Other teams from the Firm were involved in the due diligence aspects of the transaction.
