Biography

Paul is an associate in Baker McKenzie's Corporate Practice, advising on midmarket to premium deals (over GBP 500 million). Paul is also part of the London office’s advisory team on Warranty and Indemnity insurance, and related deal-risk products, advising clients and the wider Baker McKenzie network on policy placements globally.

Practice Focus

Paul advises clients on international corporate transactions and complex restructurings. Paul's busy practice includes representing clients on cross-border mergers and acquisitions transactions, carve-outs, joint ventures, shareholder arrangements and corporate reorganisations. He also advises on a range of shareholder and corporate governance matters including allegations of unfair prejudice and claims of breach of directors' fiduciary duties.

Paul received his LL.B. (Hons) from the National University of Singapore in 2010 and his LL.M. (focusing on corporate law) from Columbia Law School in 2022, where he was a Harlan Fiske Stone Scholar. Paul has been ranked thrice by the Legal 500 as a Next Generation Partner.

Paul is tri-qualified in New York (Attorney), England & Wales (Solicitor and Solicitor-Advocate) and Singapore (Advocate and Solicitor). He is also a member of the Chartered Institute of Arbitrators (UK).

Paul reads widely beyond the law and speaks Mandarin as a second language. He has a creative spark and an irrepressible personality. Having had and continuing to have a significant career spanning both the commercial contentious and non-contentious aspects of the law, he is prized by clients to be very commercially aware and able to bring innovative and practical approaches to complex problems.

Representative Legal Matters

  • Advised Emerson on its sale of its Climate Technologies business to Blackstone for USD 14 billion, a carve-out across 44 countries.
  • Advised Sika, the Swiss global construction chemicals group, on the successful EUR 5.3 billion acquisition of the Master Builder Construction Chemicals (MBCC) Group from Lone Star (the largest acquisition in Sika’s 113-year history). In addition to the acquisition, advised in relation to the signing of a divestment transaction with a new buyer, the international private equity investor Cinven and implemented a large scale and complex carve-out.
  • Advised Whirlpool Corp on its divestment of its businesses across EMEA to a new Europe-focused entity with Turkish household appliances manufacturer Arcelik.
  • Advised CommScope Holding Co, Inc. (NASDAQ: COMM) in its sale of its Home Networks business to Vantiva S.A. (Euronext Paris: VANTI).
  • Advised Novartis on M&A and dispute matters.
  • Advised China Taiping Insurance Group on various corporate, regulatory and dispute matters.
