Biography

Juliana is a senior associate of the Mergers and Acquisitions practice group of the Bogotá office. Juliana has more than seven years of experience, focusing primarily on corporate law, corporate reorganizations and mergers and acquisitions.

Juliana joined Baker McKenzie in 2017. Prior to joining the Firm, Juliana practiced mergers and acquisitions and corporate law at a major local firm.

Juliana completed her LL.M. at Columbia University in the city of New York, and graduated as a lawyer from Universidad del Rosario, specializing in Corporate Law.

Practice Focus

Her experience includes drafting and negotiating contracts and corporate documents, analyzing transactional structures, and coordinating local and multi-jurisdictional due diligence teams. Likewise, Juliana has assisted in various negotiations and closings of acquisitions, mergers and sales of companies in Colombia and abroad. She also has experience in advising foreign companies on the incorporation of their subsidiaries in Colombia and advises local and foreign companies on corporate and foreign exchange matters.

Representative Legal Matters

  • Advised Ecopetrol (the most important oil company in Colombia) in the acquisition of 51.4% of the shareholding stake of ISA Interconexión Eléctrica S.A. E.S.P. (the largest energy transmission company in Colombia and with presence in several Latin American countries) through the execution of an inter-administrative contract with the Ministry of Finance and Public Credit. It was the largest transaction in Colombia for the year 2021 with an approximate value of USD 3.6 billion (2021).
  • Advised Isagen (one of the largest energy generators in Colombia) in the acquisition of 7 hydroelectric plants in Antioquia through a series of asset purchase agreements (2021).
  • Advised EPM - Empresas Públicas de Medellín in the auction process for the acquisition of a part of the business of Electrificadora del Caribe to operate the local distribution and regional transmission system, as well as for the commercialization of energy in the Caribbean region of Colombian. This is one of the most relevant transactions in the Colombian market for the year 2020.
  • Advised Brookfield Asset Management in the public acquisition offer through which said company acquired an additional 20% stake in Vanti (a leading company in the distribution and commercialization of natural gas in Colombia) and delisted its securities from the Colombian Stock Exchange (2020).
  • Advised Daimler on the sale of its passenger vehicle business line in Colombia to Praco Didacol S.A.S. (2019 and 2021)
