Biography

A seasoned deal lawyer, William J. Rowe is a mergers and acquisitions partner in Chicago. He guides global clients, many Fortune 100 repeat acquirers, with transformational domestic and international mergers, acquisitions, carve-outs and joint ventures. These deals range from private and public target acquisitions in the United States and around the world to complex, multi-jurisdictional acquisitions and sell side transactions.

Practice Focus

William has extensive experience as lead M&A counsel and has closed transactions with major negotiations in over 30 countries which range from USD 10M to USD 8 billion in transaction value. He believes that transactional law must be personally tailored to the needs (whether large or small) of the deal and the revenue sources, liability sources and applicable law in each transaction. He has particular experience drafting and negotiating to protect and support sale value, development strategy plans, synergy value, intellectual property and key carve-out assets.

  • Newly Weds Foods, a food products company operating in over 90 countries, on its USD 4.0 billion plus sale to Redwood Holdings. 
  • Advised Denso, a Japanese public company, on its USD 500M strategic investment in a carve-out subsidiary of Coherent Corp, a US public company operating in the Silicon Carbide space. 
  • Kao Corporation, a Japanese public company, on its AUS $400M plus acquisition of Bondi Sands, its US 200M plus acquisition of Washing Systems and other transactions. 
  • McDonald's on the acquisition of artificial intelligence companies, Apprente (Silicon Valley) and Dynamic Yield (Israel), and its flagship commercial transaction with Uber. 
  • FedEx on its e-commerce acquisition of ShopRunner, its USD 1.4 billion acquisition of Genco Distribution System, its USD 4.8 billion acquisition of TNT Express and other matters. 
  • Servier on its USD 1.8 billion carve-out acquisition of the oncology business of Agios Pharmaceuticals, Inc.
  • Mercedes-Benz Group, Daimler Trucks, Booking Holdings, FedEx, and confidential technology companies and family offices in multiple minority investments in Silicon Valley and other technology and autonomous driving venture-funded businesses.
  • Walgreens, Hyland, Crane Co., Safran, Material Handling Systems, Almirall, Hospira, Abbott and Kao Corporation on global joint ventures, carve outs, acquisitions and divestitures.
  • Medtronic, Ecolab and Telvent in connection with US public target acquisitions and tender offers.

  • William Rowe has spoken at conferences held by or been published by Merger Market, Bloomberg, Practicing Law Institute, the Chicago Bar Association and Deal Lawyers, among others, on practical developments for international acquisitions.

  • Board member of the Japan America Society of Chicago, a 92 year old non-profit organization promoting economic, cultural and social connections between Chicago and Japan.
