Christina S.M. Lee
Biography
Christina Lee is a partner in Baker McKenzie's Hong Kong office. She is also the chair of the Firm's Asia Pacific Capital Markets Practice and co-chair of the Hong Kong and Mainland China Capital Markets Practice.
Practice Focus
Christina practices mainly in the areas of mergers and acquisitions, corporate finance and corporate regulatory compliance. She is knowledgeable in both public and private mergers and acquisitions, including takeovers and privatizations, strategic investments and joint ventures. She also has extensive experience in equity fund raisings and regulatory compliance for Hong Kong-listed companies, including resumption of trading under the delisting regime of the Listing Rules.
Christina currently serves as a member of Securities and Futures Commission's Takeovers and Mergers Panel and the Takeovers Appeal Committee.
Representative Legal Matters
- Advised HSBC as financial advisor to the leading tissue and personal care products manufacturer, Vinda International Holdings Limited, on the sale of its shares to Isola Castle Ltd., Asia Pacific Resources International Limited's wholly-owned subsidiary, in a voluntary cash general offer valued at approximately HKD 26 billion.
- Advised CMB International Capital Limited on the privatization of Golden Eagle Retail Group Limited (Stock code: 3308) by way of scheme of arrangement pursuant to the Companies Act (as revised) of the Cayman Islands. The cash consideration paid by the offeror is approximately HKD 2.25 billion.
- Advising Boston Scientific Group plc in relation to the HKD 4 billion partial offer for the shares of Acotec Scientific Holdings Limited (Stock Code: 6669)
4. Advised CMB International Capital Limited, as financial adviser to the offeror, on the mandatory general offer of H shares in Shandong Fengxiang Co., Ltd. (Stock code: 9977); deal value: HKD 537 million. - Advised Alpha Luck Industrial Limited and AKM Meadville Electronics (Xiamen) Co. Ltd. as joint offerors on the HKD 1.8 billion privatization of AKM Industrial Company Limited (Stock Code: 1639) by way of scheme of arrangement.
- Advised Luk Fook Holdings (International) Ltd., through its wholly-owned subsidiary, in its acquisition of approximately 50.49% of the equity interests in Hong Kong Resources Holdings Limited (stock code: 2882) and the subsequent mandatory general offer.
- Advised China Evergrande New Energy Vehicle Group Limited on its proposed introduction of a USD 500 million strategic investment by a NASDAQ-listed eco-conscious mobility technology company for approximately 27.5% stake.
- Advised China Merchants Hoi Tung Trading Company Limited (CMHT) as the purchaser on the HKD 862.4 million possible unconditional mandatory cash offer by Lego Securities Limited for and on behalf of Sea Wealth Ventures Limited to acquire all the issued shares of Best Mart 360 Holdings Limited (Stock Code: 2360).
- Advised China Merchants Hoi Tung Trading Company Limited (CMHT) as the purchaser on the HKD 862.4 million possible unconditional mandatory cash offer by Lego Securities Limited for and on behalf of Sea Wealth Ventures Limited to acquire all the issued shares of Best Mart 360 Holdings Limited (Stock Code: 2360).
- Advised Orient Capital (Hong Kong) Limited as the sole financial adviser and Orient Securities (Hong Kong) Limited as the sole global coordinator, sole bookrunner and sole lead manager, on DFZQ's H share rights issue raising RMB 12.6 billion.
