Helen Johnson
Biography
Helen is a senior partner in our Corporate M&A department at Baker McKenzie's London office. Prior to joining Baker McKenzie Helen was a partner for over 15 years at another international law firm. Helen has over 25 years' experience advising clients on international M&A transactions, primarily in the consumer and retail, financial services, insurance and technology sectors. Helen was named a Leading Practitioner in Legal 500, 2025 and is an Acritas star lawyer. Clients praise her " Standout client focus" Legal 500.
Practice Focus
Helen's practice focuses on domestic and cross-border M&A transactions for private and public companies, as well as advising on corporate reorganisations, carve-outs, joint ventures and general corporate governance. Helen also acts for financial sponsors on their investments into consumer brands. Helen has a particular expertise in advising on global transactions including advising Japanese companies on their outbound investments into Europe.

- White Stuff Group Limited, the fashion retailer, on the sale of the company to South African listed retail clothing group, The Foschini Group.
- Moss Bros plc, the LSE listed menswear retailer, on its takeover by Brigadier Acquisitions Limited, a subsidiary of Crew Clothing.
- French Connection, the fashion retailer, on the sale of its stake in the fashion and homeware brand Toast to Danish fashion group Bestseller United.
- Moulin D'Or, the sweet baked goods business in Tunisia, on its disposal to Mexican headquarted Grupo Bimbo.
- Nagatanien Holdings Co, Ltd, the Japanese listed consumer company, on its acquisition of the UK, French and Italian business of Chaucer Foods.
- Several financial sponsors on numerous investments into consumer brands including Sofa.com, Finisterre, Sundial, Katkin, Tala, TravelLocal, Creature Comforts, Caravan, Sticks'n'Suhi and The Fold.
- AJ Gallagher on numerous transactions including the acquisitions of the remaining 66% stake in Capsicum Re, RGA Underwriting and of a 30% stake in ACE Holdings in Dubai.
- Charles Taylor on various acquisitions including the acquisition of the Monaco based Strike Group Management companies, Cega Insurance Solutions and the Italian Cosulich Marine Consultants Group.
- Management on the sale of the Swiss commercial insurance broker Assepro to The Ardonagh Group.
- FNZ, the regulated investment provider, on numerous acquisitions including the acquisition of Irish Progressive Services International from Irish Life, the Swiss onboarding company Appway and the South African business of Silica from Investec.
- Charles Taylor Insurtech on the acquisition of the Argentinian business of Innworx and its investment in Bulgarian company Fadata.
- Toppan Group, the Japanese printing and packaging company, on the acquisition of Skymark Packaging International.
- Amity Solutions, the Thai owned company, on the acquisition of voice analytics and recording company Micro Plus Software Ltd, trading as Tollring.
- Willis Tower Watson on the sale of Saville Assessment to Tenzing Private Equity.
- Secret Cinema, the immersive entertainment company, on its sale to US listed company Today Tix Group.
- The founders of UK Storage Company Limited on its disposal to a syndicate owned by Pithos Capital and Davidson Kempner Capital Management.
