Biography

Jeff Bauman is an associate in the Firm's North America Employment and Compensation practice and is based in the San Francisco office. Jeff advises multinational companies in the design and implementation of their international equity compensation plans, including dealing with issues such as tax obligations, regulatory compliance, data privacy, cross-border and mobile employee implications, and labor law compliance.

Practice Focus

Jeff works with a wide variety of public and private companies across the United States on offering their equity plans around the world and assists many companies in the equity plan issues implicated in corporate transactions, including mergers, acquisitions, spin-offs, and going public transactions.

Representative Legal Matters

  • Advised a Fortune 100 technology company on maintenance of its global equity program across 65+ countries.

  • Advised a Fortune 500 semiconductor company on design and implementation of a new employee stock purchase plan across 25 countries, including counsel on tax, securities, exchange control issues, assistance with applicable tax and regulatory filings, and employee communications.

  • Advised a Game engine development company with design and implementation of its domestic and global equity compensation plans and award agreements in the lead-up to the company's IPO and subsequent acquisition of an Israeli software company and related treatment of equity compensation plans in the transaction.

  • Advised a Fortune 500 internet services company on implementation of dividend payments in equity award program.

  • Advised a S&P 500 internet security company on equity award issues involving engagement of service providers across 75+ countries.

  • Advised a Fortune 500 hospitality company on equity award issues for employee and non-employee service providers across 125+ countries.

  • Advised numerous late-stage private companies on rollout of public company equity plans, including employee stock purchase plans, in multiple jurisdictions and assisted with plan and award agreement review, employee tax summaries, securities and exchange control filings and tax withholding and reporting for post-IPO transactions.

  • Advised various large US public companies on worldwide tax and regulatory implications for equity programs in significant corporate transactions, including assistance with regulatory filings and tax rulings with applicable non-US authorities.
