Biography

Ulrich Weidemann was admitted as lawyer in Germany in 2004 and joined Baker McKenzie's corporate-M&A and capital markets practice group in 2019. Prior to joining Baker McKenzie, he advised on M&A, Corporate Finance and Capital Markets transactions, as well as in corporate law, inter alia, at several leading multinational law firms in both Frankfurt and New York.

At Baker McKenzie, Ulrich's focus is on M&A, Private Equity, Corporate Finance, Capital Markets, and Corporate Law. In addition to his legal career, Ulrich completed a training as a bank clerk (Bankausbildung) in 1997 and was a lecturer at a bank academy for several years.

Ulrich Weidemann represents German and international clients in cross-border mergers and acquisitions, private equity transactions, joint ventures, corporate restructurings, as well as general corporate law matters.

Capital Markets

Ulrich Weidemann represents issuers, underwriters, Private Equity Funds and other market participants across the entire capital markets / corporate finance value chain. His assignments include IPOs, capital increases, secondary offerings and bonds (including medium-term note programs) and other corporate financings. He also provides ongoing advice in connection with securities and stock exchange law issues (including insider trading law, ad-hoc publicity, corporate governance and compliance as well as post-listing disclosure obligations).

The clients represented operate in various industries such as automotive, banking and finance, electronics, telecommunications, insurance, chemical, transportation, energy, real estate and food.

Representative Legal Matters

  • Advised Swiss construction chemicals group Sika AG on the acquisition of MBCC Group (Master Builders Construction Chemicals), the former BASF Construction Chemicals division, from Lone Star Funds.
  • Advised shareholders in a German mid-cap IT company on the envisaged sale of a major stake to new investors (bidder process).
  • Advised a German family office in the envisaged acquisition of a German bathroom equipment provider.
  • Advised an Asian Chemicals group on the envisaged sale of a minority stake in its German business to a Japanese industry group.
  • Advised Swiss construction chemicals group Sika AG and its subsidiaries on the sale of the industrial coatings business of Sika Deutschland GmbH to US-based Sherwin-Williams.
  • Advised Mytheresa Netherlands Parent BV on the IPO on NYSE.
  • Advised 4SC AG on two rights offerings with prospectus.
  • Advised an Asian Chemicals group on the envisaged acquisition of the German synthetic rubber business of US group Trinseo.
  • Advised US-company Bandwith Inc. on the acquisition of Voxbone (communication platform and IP voice network businesses) from, amongst others, PE firm Vitruvian Partners.
  • Advised French supplier of industrial gases group Air Liquide on the sale of German Schülke Group to EQT.
