Biography

Mark advises financial sponsors and institutional investors operating in the real estate sector across the full range of corporate transactions from joint ventures through to public to private transactions. He has extensive experience acting on both domestic and pan-European M&A, having represented clients on some of the largest and most complex real-estate asset backed transactions in the market. 

Representative Legal Matters

Ares Management:

  • on its CHF 200 million investment into Peach Property Group AG; and
  • on the establishment of £200m joint venture partnership with Mount Anvil to develop London residential assets.

AXA IM - Real Assets on the acquisition of Kadans Science Partner. The c. EUR 500 million transaction represented AXA IM's first acquisition in the European Life Sciences Sector.

Brookfield on its:

  • as the majority investor in a fund established to acquire and develop a c. $1bn mixed-use trophy asset on the Champs-Élysées;
  • establishment of a EUR 500m joint venture to acquire, develop and manage logistics and industrial assets throughout Iberia;
  • c. EUR 1bn bid for a Spanish logistics portfolio and partnership with an asset manager;
  • c. £4.5 billion bid for the iQ Student Housing platform. Brookfield was the under bidder on what was the largest private real estate transaction in Europe;
  • c. £3 billion consortium bid for Intu plc;
  • acquisition and financing of the SACO (Serviced Apartment Company) platform from Oaktree Capital Management;
  • on its bid for Generator Hostels;
  • acquisition of GL Europe RE Holdings SARL, a U.K. student accommodation platform, from Avenue Capital and subsequently implementing the MIP. The transaction was Brookfield’s first European investment in student housing;
  • acquisition of real estate assets from Lehman Brothers Holdings Inc. following chapter 11 bankruptcy proceedings; and
  • acquisition of Candor Investments Ltd from Unitech Corporate Parks plc (a Class 1 disposal).

GIC (Singapore’s sovereign wealth fund) on the acquisition of:

  • a UK real estate portfolio; and

P3 Logistic Parks, a leading specialist pan-European owner, developer and manager of logistics properties, from TPG Real Estate and Ivanhoé Cambridge for €2.4 billion.

Global Logistics Properties (GLP) on its:

  • acquisition of European logistics business IDI Gazeley from Brookfield Asset Management for approximately US$2.8 billion; and
  •  bid for Logicor.

I Squared Capital as the relationship partner on K&E's first European M&A instruction for I Squared - its £2.3 billion recommended offer (in consortium with TDR) for Aggreko plc.

Oaktree Capital Management on the carve out and sale of its UK student housing business to a consortium of GIC and global student accommodation firm GSA

Starwood Capital Group on its:

  • £467.9 million recommended offer for RDI REIT plc; and
  • £673.5 million recommended acquisition of Balanced Commercial Property Trust Limited.

A consortium consisting of Apax, Warburg Pincus, Canada Pension Plan Investment Board and Ontario Teachers’ Pension Plan on the $3.4 billion take private of Inmarsat, a British satellite communications group.
