Biography

Nico Ruepp is an associate in Baker McKenzie’s Berlin office and member of the German Transactional Practice Group. Before joining Baker McKenzie, Nico completed his legal clerkship at the Higher Regional Court of Dresden, where he passed his Second State Exam in 2022. Prior to that, Nico studied law at the University of Freiburg (Breisgau) and the University of Naples (Italy) and graduated from law school in 2020.

Practice Focus

Nico advises domestic and foreign companies, sponsors, banks and financial investors on M&A transactions, joint ventures, projects and related financings in the energy and infrastructure sector. Nico regularly advises clients with regard to corporate law (re)structuring options and regulatory risks in the context of M&A transactions, project developments, service agreements and their day-to-day business. His experience covers, among others, the field of power generation assets (renewable energy, gas, coal, hydrogen) and storage systems (battery, fuels). He has in-depth knowledge regarding the energy and planning law implications relating to the construction and operation of such systems as well as with regard to the marketing of the generated electricity (e.g. via PPAs).

Additionally, Nico has a strong focus on the mobility sector. He has profound expertise with regard to the development of recharging infrastructures and the legal requirements for the various stakeholders in this area. Another focus of Nico’s work are all questions relating to the trading and purchasing of emission certificates (EU ETS, National Emission Trading System, voluntary carbon markets).

Representative Legal Matters

  • Advised a major European energy supplier with respect to the further growth of its onshore renewables business in Germany, including advising on all issues related to the planning, implementation and operation of renewables projects and PPAs.

  • Advised an investment group focusing on sustainable investments on the project development of biogas plants together with a partner who has developed a novel technology to produce biogas from organic waste.

  • Advised a Korean car manufacturer on its investment into a German hydrogen lighthouse project, including due diligence on the project set-up and the hydrogen purchase agreement.

  • Advised a project developer with respect to the development of various battery storage systems in Germany, especially with regard to the planning, permit and energy law requirements.

  • Advised an oil and gas producer on a project for the comprehensive restructuring of the Carbon Capture and Storage (CCS) and hydrogen business areas, including the activities in Denmark, Germany, the Netherlands, Norway and the UK, based on a due diligence of the business areas focusing on corporate and regulatory issues.

  • Advised a luxury automotive manufacturer on the development and implementation of its recharging station business model in line with regulatory requirements under the German Charging Point Ordinance and the EU Alternative Fuels Infrastructure Regulation.

  • Advised a company developing and managing climate protection projects and trading with emission certificates with respect to contractual issues, template agreements for the cooperation with climate protection project developers and for the sale/purchase of carbon credits as well as the implementation of Gold Standard and VERA Rules in the purchase and sales agreements.

  • Advised an advisory company for the financing of climate protection projects with respect to purchase agreements for emission certificates concluded with a car manufacturer.

  • Advised an investment bank in connection with trading models under the National Emission Trading System (nEHS) and the Upstream Emission Reduction (UER) scheme.

  • Advised a listed coffee and tea manufacturer with respect to the entitlement to subsidies under the German Electricity Price Brake Act and Natural Gas Heat Price Brake Act.
