Biography
Jeremy Poore architects the legal and financial structures that underpin some of the world's most complex corporate transformations. As an associate in the Firm's Transactional Practice Group, he advises multinational clients on multi-billion-dollar post-acquisition integrations, strategic carve-outs, and global reorganizations. His experience includes navigating the complexities of landmark transactions in the life sciences and technology sectors, such as advising on the USD 4.2 billion carve-out of Edwards Lifesciences' Critical Care business and the USD 500 million sale of Thomson Reuters' Elite business.
This legal experience is enhanced by a unique commercial and financial lens, developed during his prior career as a Certified Public Accountant (CPA) (Inactive) at Deloitte and EY. His background in analyzing complex SEC filings and assessing the financial architecture of large public companies provides a deep, structural understanding that he now leverages to de-risk transactions and ensure the legal framework accelerates his clients' strategic business objectives.
In addition to his transactional practice, Jeremy is committed to community and firm citizenship. He serves as an associate-member of the Chicago office's Pro-Bono Committee and is the firm's liaison to Ladder Up, a financial empowerment non-profit, where he serves on the Associate Board.

- Advised Becton, Dickinson and Company (BD) on its USD 4.2 billion acquisition of Edwards Lifesciences' Critical Care business, a complex carve-out spanning 40 countries.
- Advised Thomson Reuters on the USD 500 million carve-out and sale of its Elite business to leading global asset manager, TPG.
- Advised Mytheresa Group on its USD 2.2 billion IPO on the NYSE.
- Advised on the outside-the-US (OUS) complex carve-out of French IT services company Atos, including the separation of its Eviden business.
- Advised on the US aspects of the EUR 665 million acquisition of Merck's global surface solutions business by GNMI, a transaction involving significant US assets and foreign investment considerations.
Corporate Reorganizations & Post-Acquisition Integration
- Advised on the global post-acquisition integration following AbbVie's USD 63 billion acquisition of Allergan.
- Advised on the complex post-acquisition integration of BTG plc into Boston Scientific following its USD 4.2 billion acquisition, a process that included subsequent strategic divestitures to meet regulatory and business objectives.
- Advised on the global post-acquisition integration following Takeda's acquisition of Shire plc.
