Biography

Sally Pierce is a special counsel in the Technology, Data and Commercial team. Sally has a broad commercial practice with particular focus on issues in the technology and defence industries.

Sally spent a 13-month secondment in a global professional services company that specialises in information technology services and consulting and six months with a leading defence technology company working on defence technology transactions.

Representative Legal Matters

  • Drafting and negotiating a variety of commercial IT contracts for supplier and customer clients, including IT maintenance agreements, services agreements, software licence agreements, supply and distribution agreements.
  • Drafting transitional services agreements as part of large corporate M&A transactions. 
  • Advising clients on compliance with Australian privacy, spam and surveillance laws, including business-wide privacy compliance projects, cyber security and data breach incidents, product counselling and global regulatory developments.
  • Advising Lockheed Martin Australia on its contract negotiations with the Commonwealth for its role in the Sovereign Guided Weapons and Explosive Ordinance Enterprise.
  • Advising ASC on its subcontract with prime contractor Luerssen to construct two offshore patrol vessels for the Royal Australian Navy.
  • Advising ASC on the structural separation and acquisition by BAE Systems of ASC Shipbuilding following its selection as the shipbuilder for Australia’s Future Frigate Program.
  • Acting for Future Fund on the acquisition of a suite of software and technology services supporting the establishment of a major data analytics capability.
  • Assisting Lendlease with the rollout of technology services across its retail infrastructure portfolio which involved drafting complex multi-party contracts.
  • Acting for an Australian telecommunications company on its channel distribution agreements and advising on related telecommunications and consumer law issues.
  • Acting for a German manufacturer of novel drilling technology on the supply of equipment to an Australian mining company.
