Biography
Sumet Orsirivikorn is co-head of Baker McKenzie’s Corporate/M&A Practice Group in Bangkok and plays a strategic role on the Firm's Asia Pacific M&A Steering Committee and Asia Pacific Private Equity Steering Committee, contributing to the practice's direction and regional growth. He is recognized for advising on complex, high-value transactions across the Asia Pacific region, with particular strength in insurance, M&A, and private equity.
Practice Focus
Sumet advises on corporate structuring and restructuring, the establishment of businesses in Thailand, and corporate management and control. His practice spans key industries, including insurance, real estate, manufacturing, transportation, energy and infrastructure, the renewables sector, and data centers. He has substantial experience drafting and negotiating commercial contracts (including sale and purchase, shareholder, joint venture, bancassurance, hotel management, distributorship, and marketing and agency agreements), reviewing legal documents, and carrying out due diligence for M&A projects. Due to the cross-border nature of many of his deals, he works extensively with our offices worldwide, guiding clients through multijurisdictional regulatory concerns and facilitating their navigation of cultural nuances.
Representative Legal Matters
- Led the team in advising a leading global property and casualty insurer on the successful sale of its Thai insurance operations to a premier global insurer. The transaction involved the Thai insurance entity. Executed through a competitive auction process, the deal closed simultaneously in Bangkok and Delaware – an achievement that reflects the seamless coordination and cross-border capabilities of the team.
- Led the team in advising a regional insurance group on its listing on the Main Board of Hong Kong’s stock exchange. The transaction was highly complex due to listing requirements, and due diligence was conducted repeatedly under tight and challenging deadlines. Challenges included multiple rounds of complex structuring considerations, COVID-19 limitations, and recent changes in requirements due to local PDPA regulations.
- Led the team in advising a global infrastructure investor, which recently became part of a global asset management group, on its strategic partnership with a diversified Thai conglomerate and a leading data center operator in Thailand. This landmark transaction marks the investor’s first investment in Thailand and a key component of its regional initiative.
- Led the team in advising a Singapore-based data center platform and a Thai power producer on their joint venture agreement and, through their newly incorporated joint venture company, on the acquisition of land and the securing of investment promotion from Thailand’s Board of Investment (BOI) for the development of a 96 MW data center in eastern Thailand.
- Advised a leading global chemical and polymer producer and a significant player in the oil and gas market on the divestment of its styrene polymer business (acrylonitrile butadiene styrene (ABS) and styrene acrylonitrile (SAN)) in Thailand to a leading ABS and SAN producer in India listed on the India Stock Exchange.
- Led the team in advising a Thai power producer on the intricate internal restructuring of over a dozen subsidiaries operating gas-fired power plants and smart energy businesses across the Asia-Pacific region. Given the extensive network of subsidiaries under the power producer’s umbrella, the team meticulously restructured each entity, consolidating them into a single holding company. This complex task was further complicated by the geographical dispersion of the subsidiaries and holding companies, necessitating a synchronized implementation of the restructuring process.
