Biography

Martín is a transactional partner in Baker McKenzie's Santiago office with more than 12 years of experience with the Firm. Martin mainly advises on mergers and acquisitions, corporate reorganizations, contractual law, and foreign investment.

Practice Focus

Martín has experience in general corporate counseling and in corporate restructurings, as well as private equity transactions. He routinely works on corporate and partnership law, as well as all legal matters related to contractual law and foreign investments, and represents multinational companies on Chilean and cross-border business and soft-landing structures. Martín's client base includes companies in the healthcare & life sciences, IT, and mining industries.

Representative Legal Matters

Advised Aon in acquiring 100% of the equity interests of Benefits Corredores de Seguros SpA and Asesorías e Inversiones Benefits SpA, including the companies’ insurance brokerage and employee benefits consulting businesses.
Advised and assisted Atos in the multijurisdictional reorganisation, specifically in the planning and implementation of a corporate reorganisation to segregate the business sold to Mitel.
Advised AbbVie Inc. in a multijurisdictional reorganisation branded Picasso Project, involving among other entities located in different countries, some of it Chilean subsidiaries (i.e. Allergan Laboratorios Limitada and AbbVie Productos Farmacéuticos Limitada), in the context of an internal reorganisation plan
Advised Cargill in the acquisition of 24.5% of the shares of Salmones Multiexport S.A. (Multi X), the subsidiary of Multiexport Foods S.A.
Advised Ecopetrol, Colombia's leading oil company and Latin America's second largest oil company, in its agreement with the Colombian Ministry of Finance and Public Credit to acquire its 51.4% stake in Interconexión Eléctrica (ISA). This advice has been carried out through joint and collaborative work with the offices of Chile, Argentina, Brazil and Peru.
Assisted Merck in the integration process of the "Antelliq" business into their Merck Animal Health division after its acquisition by Merck. The integration included several stages and steps, and involved various jurisdictions, including Chile, Iceland, the United Kingdom, Norway, The Netherlands, among others.
Advised TD Synnex Chile Limitada ("Synnex Chile"), a Chilean subsidiary of TD SYNNEX Corporation, one of the largest IT distribution companies in the globe, in relation to an internal reorganisation in South America which involved -among others- the merger of TD Advanced Technology Solutions Chile Limitada ("TD Chile") with and into Synnex Chile. The purpose of the reorganisation was to generate efficiencies and maximise synergies by eliminating the duplication of local companies which largely covered the same line of business.
Advised Landsberg Investments, S.L., a joint venture led by Altra Inversiones (Colombian private equity fund manager), and DEG, a German Development Financial Institution, on the acquisition of a 38.8% stake in Avla S.A., a leading organization in surety bonds and trade credit in Chile and Peru.
Advised Mantos Copper in the demerger procedure of one of its Chilean subsidiaries (i.e. Mantos Copper S.A.) to create a new corporation called Mantoverde S.A., to split the ownership of the Mantos Blancos mining project and the Mantoverde mining project into two separate legal entities, allocating in Mantoverde, all the assets and liabilities corresponding to the Mantoverde mining project, allowing independent financing of both mining operations.
Advised Orion Resources Partners (USA) LP and Audley Capital Advisors LLP, on the agreement to sell a 30% stake of Mantoverde copper mine to Mitsubishi Materials Corporation in a USD 283 million deal.
