Biography

Lawrence is a partner in the Corporate practice group in Sydney and advises strategic investors, private equity sponsors and large corporations on complex M&A and related transactions.

In addition to his Australian experience, he has also spent two years advising on domestic US and Australian inbound M&A transactions whilst based in Baker McKenzie's Chicago office.

Practice Focus

Lawrence has experience advising strategic investors, private equity sponsors and shareholders with a focus on: complex private and public M&A transactions, buyouts, restructures, joint ventures and shareholder arrangements, and venture capital transactions.

He also has particular experience assisting clients with inbound acquisitions of Australian businesses and, over the last 3 years, has advised strategic investors and private equity sponsors based in the USA, Japan, Singapore and other jurisdictions on approximately 15 Australian inbound acquisitions of Australian businesses with enterprise values ranging from AUD 50 million to AUD4 billion.

Representative Legal Matters

  • Advising a Japanese bank on its acquisition of a division of one of the "big four" Australian banks for approximately AUD4 billion (2018-2019).

  • Advising a global private equity sponsor on its acquisition via auction process of a multi-state Australian business (2019).

  • Advising a multinational energy services provider on its acquisition of a business from an ASX-listed energy company and simultaneous formation of a joint venture with a major Australian private equity sponsor (2018).

  • Advising a UK-based multinational corporation on two strategic acquisitions of Australian businesses (2017 and 2018).

  • Advising the founders of an on-demand services business relation to its series-A and pre-series-B fundraising activities in the USA and Australia (2017-2019).

  • Advising the venture capital arms of several multinational healthcare companies on series-A and series-B investments in Australian healthcare businesses (2017-2018).

  • Acting as US counsel for a European-based private equity sponsor on its acquisition of a US based logistics business (2016-2017).

  • Acting as international counsel for a US-based company in its worldwide disposal of a business division valued at USD 5 billion (2016).

  • Acting for a US-based coal producer in relation to the sale of a number of its mining interests to a US competitor (2016).
