Biography

Ethan is an associate in the Corporate Department at Baker McKenzie London. He is part of the Firm's Global Reorganisations Group and advises clients across multiple sectors on a wide range of corporate law matters.

Prior to joining Baker McKenzie in 2024, Ethan worked in the London and Amsterdam offices of a Magic Circle firm. He has extensive experience advising global corporates on complex, multijurisdictional carve-outs (both sales and acquisitions), private acquisitions and divestments, spin-offs / demergers, post-acquisition integrations, group rationalisations, and group restructurings.

Practice Focus

Ethan has a particular focus on structuring, implementing and managing complex cross-border and domestic business transformations and global reorganisations.

Representative Legal Matters

  • Advised Whirlpool Corporation on the reorganisation aspects of the sale of its major domestic appliances business, and Middle East and Africa business, to Arçelik A.Ş.
  • Advised Advent International and Caldic B.V. on the merger with Connell to form a leading global life sciences and specialty chemicals solutions distribution platform.
  • Advised WPP on the GBP 3.1 billion carve-out sale of a majority stake in Kantar, a global data, research, consulting and analytics business to, and resulting joint venture with, Bain Capital, across 90 jurisdictions.
  • Advised Pentair on the global separation and spin-off of its electricals business (nVent Electric), across 43 jurisdictions.
  • Advised DWF LLP on the reorganisation of its group and subsequent IPO, the first international law firm to list on the main market of the London Stock Exchange.
  • Advised Aermont Capital on the sale of The Social Hub (formerly The Student Hotel) to GIC Capital and APG.
  • Advised Wittington Investments Limited and the Weston Family on the Dutch law aspects of the sale of Selfridges Group, including the Netherlands’ premium department store, de Bijenkorf, to Central Group and Signa Holding.
  • Advised Providence Equity and Superstruct Entertainment on the acquisition of ID&T, one of the Netherlands’ largest festivals and entertainment business, from LiveStyle and Axar Capital.
  • Advised Fremman Capital on the acquisition of Veritas Petroleum Services, a fuel testing and efficiency business, from IK Partners.
  • Advised Infracapital on the acquisition of BCTN, the leading Benelux inland terminal operator, from Alinda Capital Partners LLC.
  • Advised Exponent Private Equity on the restructuring of the Photobox Group and separation of Moonpig ahead of its listing on the London Stock Exchange.
  • Advised Pennon Group plc on the sale of Viridor, its residual waste and recycling business, to KKR for an enterprise value of approximately GBP 4.2 billion.
