Airi Hammalov is a partner in the New York office of Baker McKenzie and a member of the Corporate & Securities practice. Prior to joining the Firm, Airi practiced at top international firms in London and Moscow.

Practice Focus

Airi practices primarily in the area of corporate and securities law with a focus on mergers & acquisitions and private equity. Airi mainly advises domestic and international companies, private equity firms and financial institutions on their most complex mergers, acquisitions and joint ventures across a wide range of industries.

Representative Legal Matters

  • Advised Daiwa Securities Group on its USD 120 million investment via the acquisition of bonds in Global X, a US based issuer of ETFs and owned by South Korea’s Mirae Asset Global Investments.

  • Advised One Equity Partners on its carve-out acquisition of ORS Medco, a leading wholesaler of industrial and automotive aftermarket products serving over 15,000 distributors and resellers.

  • Advised Embracer Group, the Swedish publicly traded video game holding company, with respect to its acquisition of the assets of Saber Interactive, a leading game developer and publisher with more than 600 employees across six offices.

Prior to joining the Firm, Airi handled the following matters:

  • Advised Boulevard, a public investment vehicle affiliated with Avenue Capital, on its business combination with Estre, the largest waste management company in Brazil.

  • Advised Vertical Bridge, the largest private owner and operator of communications infrastructure in the US, in the acquisition by Caisse de dépôt et placement du Québec (CDPQ) of a 30% stake in the main operating subsidiary of Vertical Bridge.

  • Advised Arlington Capital on its sale of Avalign, a leading manufacturer of implants and surgical instruments to specialty surgical markets with operations in Germany and the US, to Linden Capital Partners.

  • Advised AstraZeneca, Volvo and Smiths Group on their US acquisitions and divestments.

  • Advised the State of Alaska on Alaska Gas Development Corporation’s joint ventures with ExxonMobil, BP, ConocoPhillips and other strategic partners in the US and globally.

  • Advised Vista Equity Partners, a leading PE firm focusing on software and technology-enabled businesses with over USD 30 billion in assets, on various sales and acquisitions of its portfolio companies.

  • Advised Centre Partners on its acquisition of Nearly Natural, a rapidly growing e-commerce platform of artificial plants with operations in the US, Asia and South America.
