Biography

Michael Greaney is a partner in the Transactional Practice Group in Baker McKenzie’s Los Angeles office. Michael advises clients across a range of industries on corporate transactions, strategic investments, fund formation, antitrust filings and corporate governance matters. Prior to joining the Firm, he practiced at Munger, Tolles & Olson for over 27 years.

Michael served as a law clerk to the Honorable Helen Gillmor of the United States District Court for the District of Hawaii.

Michael received his law degree from Yale Law School, where he was a director of the Immigration Clinic and an editor on the Yale Journal of International Law. He obtained a BA, summa cum laude, from UCLA, where he majored in political science with a specialization in international relations.

Practice Focus

Michael’s practice is focused on transactions and other corporate matters, including mergers and acquisitions, the formation of funds, joint ventures and partnerships, public and private securities offerings, private equity investments and venture capital financings. He also advises clients on issues related to corporate governance and the Hart-Scott-Rodino Antitrust Improvements Act.

Michael represents clients across a wide range of industries, including manufacturing, media and entertainment, technology, energy, gaming, private equity, financial services, real estate and food processing.

Michael also has a strong commitment to pro bono work. He has advised non-profits involved in combatting human trafficking, serving at-risk youth and people with disabilities, and promoting environmental protection and sustainability, and he has represented immigrants seeking asylum, Special Immigrant Juvenile Status and cancellation of removal.

Representative Legal Matters

  • Berkshire Hathaway Inc. in a variety of transactions, including its USD 11 billion purchase of Alleghany Corporation, USD 10 billion investment in Occidental Petroleum, USD 445 million credit facility to Media General, and in dozens of US antitrust filings.
  • Intel Corporation in the USD 9 billion sale of its NAND memory chip business to SK hynix.
  • Resmark Equity Partners in the formation, issuance and operation of several real estate development funds.
  • Southern California Edison in the formation of the Clean Fuel Reward Program, California’s statewide electric vehicle point of purchase incentive program initiated and led by the state’s electric utilities.
  • Nexus Capital Management in its acquisitions of the FTD florist network, Lamps Plus, and HDT Global, and in the merger of Natural Balance Pet Foods with Canidae Pet Foods.
  • Fomento Económico Mexicano, S.A.B. de C.V. (FEMSA) and its affiliates in multiple acquisitions, investments and US antitrust filings.
  • Health-Ade Kombucha in its acquisition by Generous Brands.
  • Sperber Landscape Companies in the roll-up of several privately held landscaping companies across the US.
  • Daily Journal Corporation and its subsidiary, Journal Technologies, Inc., in a variety of securities law, software licensing and corporate governance matters.
  • MGM Resorts International in its acquisition of its joint venture partner’s interest in Borgata Hotel Casino & Spa.
  • The Yucaipa Companies in a variety of acquisitions, strategic investments, financings and partnerships.
  • A Japanese conglomerate in the creation, financing and operation of an international joint venture in the wind power generation industry.
  • Several emerging-growth technology companies in both early- and late-stage venture capital financings.
