Biography

Karolina Chudy is an attorney-at-law admitted to practice in Poland and an associate in the Antitrust & Competition practice at the Baker McKenzie office in Warsaw. She is experienced in Polish and EU competition law, with a particular focus on antitrust, merger control, consumer protection and state aid.

Karolina graduated from the Faculty of Law and Administration at the University of Warsaw in 2019. During her studies, she completed a course in English and European law organized by the British Centre for English and European Legal Studies at the University of Warsaw in cooperation with the University of Cambridge. She also attended the University of Groningen in the Netherlands under a student exchange programme. In addition, she completed postgraduate studies in competition law at the Polish Academy of Sciences in 2024. She qualified as an attorney-at-law in 2024.

Prior to joining Baker McKenzie in 2025, Karolina worked in the competition as well as grants and incentives departments of leading Polish and international law firms in Warsaw.

Practice Focus

Karolina focuses her practice on a wide range of antitrust law matters, including merger control, restrictive agreements and abuse of dominant position. Her experience notably includes assisting clients in merger control proceedings before the European Commission, the Polish competition authority as well as other national competition authorities, the coordination of multijurisdictional filings, complex due diligence projects and advising on foreign direct investment screening mechanisms. Karolina also has experience in state aid and consumer protection law, with a particular focus on providing advice relating to M&A transactions. She has worked with clients from a broad spectrum of sectors, including energy, heavy industry, healthcare, financial, TMT and FMCG.

Representative Legal Matters

  • Advised American Heart of Poland, a leading independent cardiovascular care provider in Europe and one of the largest private healthcare providers in Poland, on the antitrust aspects of acquiring control over Scanmed Group, a major private healthcare provider, including representation in merger control proceedings before the Polish competition authority.
  • Advised CANAL+, a leading world pay-TV operator and major player in free-to-air television in France, on the antitrust aspects of the acquisition of 70% of the shares in SPI International B.V., the majority shareholder of Kino Polska TV S.A., including representation in merger control proceedings before the Polish competition authority.
  • Advised Innova Capital, an independent private equity firm, on the antitrust aspects of the sale of 100% of the shares in Trimo, a leading European producer of sustainable, mineral-wool insulated panels and building envelopes for the construction industry, to Recticel, a Belgian industrial group.
  • Advised Innova Capital, an independent private equity firm, on the antitrust aspects of the acquisition of Punkta Group, a corporate insurance distribution and services company, including representation in merger control proceedings before the Polish competition authority.
  • Advised Arcus Infrastructure Partners, an infrastructure fund, on the antitrust aspects of acquiring a majority shareholding in FixMap sp. z o.o., a Polish fiber-to-the-home business, including representation in merger control proceedings before the Polish competition authority.
