Isabel Carty
Biography
Isabel Carty is a senior associate in Baker McKenzie’s Corporate Reorganizations group based in London. She also works closely with Baker McKenzie’s Global Corporate Maintenance Solutions team based in Belfast.
She joined the Firm in September 2012, and has been seconded to Rio Tinto and DMGT plc, in each case based in their London offices working as part of the in-house legal team.
Isabel is recognised by Legal 500 as a key lawyer within Baker McKenzie’s Tier 1 Mining and Minerals practice.

Reorganisations
- Advising a specialty chemicals company on its post-acquisition integration of a USD 6 billion business across more than 30 jurisdictions.
- Advising a multinational fashion holding company on various strategic intragroup reorganisations transactions including intragroup debt restructurings (e.g. debt settlement and finance structure unwinds), contributions, capital reductions, funding transactions, distributions, director appointments, partnership redemptions, strike offs and cash pool rebalancing.
- Advising a medical technologies corporation on various post-acquisition integrations and intragroup reorganisations transactions.
Corporate Governance
- Advising a global mining and metals company in respect of the strategic corporate governance, ESG reporting, and pre-signing reorganisations aspects of a potential partial disposal of an indirect stake in Indonesian mining assets to a third party investor.
- Advising a global nuclear energy company on its corporate governance arrangements, including designing a bespoke master governance policy and providing ongoing advice on the implementation and evolution of the same.
- Advising various international groups in the energy, mining, and consumer industries on their global environmental, social and governance (ESG) reporting obligations.
Mergers and Acquisitions
- Advising the seller on the sale of certain Saudi MGT assets including associated joint venture arrangements.
- Advising on the acquisition of a series of limestone assets in South America, Australia and Southeast Asia.
- Acting for Turquoise Hill on the USD 300 million sale of its stake in Altynalmas Gold by way of competitive auction.
Joint ventures
- Advising Sumitomo Mitsui Finance and Leasing on the acquisition of helicopters with a combined asset value of USD 230 million and the formation of a helicopter leasing joint venture with LCI Helicopters.
- Acting for Leemar Investments FZE on its acquisition of a 50% interest in the SushiSamba restaurant business, associated shareholders’ arrangements, and the establishment of a separate joint venture with SushiSamba’s founders for the expansion of the brand.
- Advising on the acquisition of a series of limestone assets in South America, Australia and Southeast Asia, including various joint venture arrangements.

Pro Bono
- In partnership with the Florida Rights Restoration Commission, helping to restore returning citizens to the electoral register in Florida.
- Advising on the potential renewal by the Guyanese government of the Barama timber concession in Guyana.
- Advising on the implementation of, and drafting legislation in relation to, the Extractive Industries Transparency Standard in an African country.
- Advising a children’s health, education and protection charity on various matters including a cooperation agreement with a university and a government grant process.
- Advising a conflict resolution charity on compliance with, and replacement of, its articles of association.
- In partnership with Coram Children’s Legal Centre, advising children on their immigration applications in order to achieve UK citizenship.
- In partnership with Amicus, working on the defence teams of various US death row inmates.
- Advising the Humane Society International on the legality of certain proposed investigations into the global fur trade.
- Advising Every Woman Treaty and Global Rights for Women on the alignment of domestic violence legislation in certain jurisdictions with applicable international law.
