Biography

Ladislav Bulajcsik is an associate in Baker McKenzie's Corporate/M&A Practice Group in Vienna. He joined the Firm in 2020 and has more than 7 years of experience advising on M&A and corporate matters. Prior to joining Baker McKenzie, Ladislav practiced corporate and real estate law in several renowned Austrian and Slovak law firms. He is admitted to the Vienna and Slovak Bar Association.

Practice Focus

Ladislav focuses his practice on advising national and international clients in the areas of mergers and acquisitions, private equity, national and cross-border corporate reorganizations and restructurings, corporate governance, joint ventures, corporate disputes and other aspects of corporate, commercial and contract law. His practice further covers internal investigations, as well as assisting clients with the establishment, implementation and enforcement of compliance management systems, especially in the field of anti-corruption. Ladislav has experience advising and representing clients in the media & telecommunications-, commercial-, construction- and healthcare & life sciences sector. His particular focus lies on matters related to Central and Eastern Europe.

  • Advised Accenture GmbH on the acquisition of Allgemeines Rechenzentrum GmbH, a technology services provider specializing in the banking sector.

  • Advised VINCI Energies S.A. on the acquisition of significant parts of the IT services business of Kontron AG.

  • Advised the MOL Group on the acquisition of a business share corresponding to a 92.25% stake in OMV SLOVENIJA, trgovina z nafto in naftimi derivati, d.o.o.

  • Advised New Mountain Capital, a US based private equity fund on the Austrian aspects of the acquisition of the analytical, food and enterprise business unit from PerkinElmer, Inc.

  • Advised affiliates of funds managed by Apollo Global Management Inc. on their EUR 500 million investment into Sazka Group a.s.

  • Advised Koch Industries on the Austrian aspects of the USD 2.7 billion sale of its enterprise asset management business.

  • Advised an international financial institution on the proposed group restructuring in Central and Eastern Europe.

  • Advised Germany's leading entertainment and commerce group on the acquisition of a private television station in Austria.

  • Advised various real estate groups on the purchase and sale of residential and commercial real estate by way of asset and share deals, as well as on the construction and development of hotels.

Compliance / Internal Investigations

  • Slovak subsidiary of an Austrian listed company: Advised and led an internal investigation following a raid by Slovak criminal authorities, involving corruption-, bribery-, bid rigging-, AML-, as well as tax-related allegations.

  • Czech subsidiary of an Austrian listed company: Advised and led an internal investigation following criminal proceedings against the Czech subsidiary, including corruption-, bribery-, and tax-related allegations.

  • Advised a public institution with over 10,000 employees in an internal investigation following various allegations expressed in numerous whistleblowing letters.

  • Advised several companies in the review of their compliance management systems.
