Biography

Andrea Tovar regularly advises multinational companies on cross-border commercial transactions and complex privacy and international trade matters. Andrea is also a member of the Firm’s Technology, Media & Telecoms Global Industry Group and Co-Chairs the North America Baker Unidos Affinity Group.

Practice Focus

Andrea's practice covers multijurisdictional commercial transactions including IP migrations, supply chain restructurings, global spin-offs, post-acquisition integrations, and technology transactions. Andrea also advises companies on a wide range of compliance matters including trade, data protection, procurement/vendor onboarding processes, and consumer protection. Additionally, she has experience assisting companies in navigating the fast-developing US gaming and sports betting market by creating tailored strategies for expansion.

Representative Legal Matters

  • Advised Trimble Inc. on one of the largest ag tech carve-out restructurings for a deal value of approximately USD 2 billion.

  • Supported NASDAQ-listed cybersecurity company on multiple intellectual property migrations, post-acquisition integrations and divestures, including the sale of its Enterprise Security assets to Broadcom Inc. (announced deal value USD 10.7 billion).

  • Represented multinational manufacturer in preparing and negotiating supply agreements with an annual value of approximately USD 250 million.

  • Represented PointsBet, an Australian cloud-based wagering and sports betting platform, on its USD 393 million media partnership deal with NBCUniversal.

  • Provided strategic advice and contract localization assistance with respect to IP transfer agreements, technology licenses, and commercial contracts to companies selling cloud-networking solutions, SaaS, fintech solutions, and technology and medical devices.

  • Conducted sanctions and export compliance risk assessments for various business units of a major telecommunications company and a multinational consumer retail company.

  • Supported major Japanese social media and gaming companies in expanding their offerings in the United States by providing advice on data protection, business licensing requirements, sweepstakes/giveaway rules, and consumer protection key considerations.

  • Assisted multinational information technology company conduct an internal investigation in respect of the provision of various services and software to sanctioned airlines, including conducting investigative document review, preparing questions for witness interviews, and enhancing sanctions compliance program.

  • Assisted a major retailer in responding to data breach, including extensive technical work with incident response professionals.
