Biography

Philip is a counsel in Baker McKenzie’s Corporate Tax Department in London. Philip has spent time on secondment to the tax department of a large US multinational and Baker McKenzie’s offices in New York and Washington, DC.

Practice Focus

Philip advises on all aspects of UK and international corporate tax, with a particular focus on cross-border projects for large multinational corporate groups and private equity clients.

His practice includes the tax aspects of global M&A and other corporate transactions, cross-border financings, complex intra-group reorganisations and supply chain restructurings.

Representative Legal Matters

  • Advised Equinix, Inc. on the creation of a USD 3.9 billion joint venture with GIC to develop and operate 18 xScale data centres across EMEA and South and Central America.
  • Advised Equinix, Inc. on its USD 1 billion joint venture with GIC to develop and operate xScale data centres in Europe.
  • Advised Equinix, Inc. on the EUR 1.5 billion refinancing of a portfolio of xScale data centres across Germany, France, Poland and Spain.
  • Advised Bain Capital and its portfolio company Kantar on multiple disposals, including the sale of Kantar Media business to H.I.G. Capital and the sale of Kantar’s Public business to Trilantic Partners.
  • Advised H.I.G. Capital on its acquisition of ITH Group Limited, a leading UK provider of aseptic pharmaceutical compounding services.
  • Advised One Equity Partners and its portfolio company Trustmarque on the acquisition of software asset managed services provider Livingstone from Carlyle and the merger between Trustmarque and Ultima Business Solutions (a managed services provider owned by Apse Capital).
  • Advised Sandoz on the divestment of its China business to Aspen Pharma.
  • Advised on the divestment of Inceptua to Vesey Street Capital Partners.
  • Advised S&P Global on the sale of its Global Engineering Solutions business to investment funds managed by KKR.
  • Advised ATPM Media on the structuring and establishment of its data licensing business.
  • Advised multiple large multinational groups in relation to Pillar Two readiness and restructurings.
  • Advised several large multinational groups in relation to HMRC enquiries and Profit Diversion Compliance Facility processes (regarding a range of technical issues, including: transfer pricing, diverted profits tax, withholding tax, controlled foreign company rules, anti-hybrid rules, the unallowable purpose rule).
