Biography

Jonathan is a partner in the Transactional Practice Group in the firm's New York office. Jonathan routinely advises private equity funds and multinational companies on global and domestic mergers and acquisitions, carve-outs, corporate restructurings and pre- and post transaction integrations.

Practice Focus

Jonathan has extensive experience as lead M&A counsel for strategics and financial sponsors on buy- and sell-side transactions, including multijurisdictional carve-out transactions, across a variety of industries. Jonathan also advises clients on their day-to-day corporate governance and other general corporate matters.

  • Advised FedEx and a consortium including Advent, A&R and PPF on its pending approximately USD 9 billion public company/private equity consortium bid for InPost.
  • Advised New Water Capital in its acquisition of Dutch Gold Honey and related businesses.
  • Advised Acuity Brands on its acquisition of QSC (a US-based company providing audiovisual solutions).
  • Advised Spotlight Energy in its acquisition of PathPoint Energy.
  • Advised KKR on the acquisition of Potter Global Technologies, a leading manufacturer of fire and life safety equipment, from Gryphon Investors.
  • Advised MiddleGround Capital in multijurisdictional carve-out of PVI Holdings and W&O Supply from Pon Holdings.
  • Advised MiddleGround Capital in acquisition of Race Winning Brands and subsequent roll-up of 4 aftermarket performance motor sports parts suppliers around the globe.
  • Advised Edelman Financial Engines LLC in connection with a series of strategic transactions, including the acquisitions of Soundmark Wealth Management, PRW Wealth Management, Align Wealth Management, Erman Retirement Advisory and Smart Investor.
  • Advised Los Altos Food Products (a California-based cheese company) on its sale to Sigma Alimentos (a Mexico-based food company).
  • Advised Gilde Capital in acquisition of RID lice prevention product line from Bayer Corp.
  • Advised MiddleGround Capital in acquisition of automotive sensor provider, New Eagle LLC.
  • Advised MiddleGround Capital in carve-out acquisition of Benteler AG's North American hot stamping business.
  • Advised Servier on its USD 1.8 billion carve-out acquisition of the oncology business of Agios Pharmaceuticals, Inc.
  • Advised AkzoNobel N.V. in its acquisition of New Nautical Coatings, Inc.
  • Advised Abbott Laboratories on the disposition of Alere, Inc.'s Triage® MeterPro cardiovascular (CV) and toxicology business and B-type Naturietic Peptide (BNP) assay business run on Beckman Coulter analyzers (USD 680 million).
  • Advised Abbott Laboratories on the disposition of Alere, Inc.'s epoc® Blood Analysis System.
  • Advised Safran in its USD 710 million sale of its Morpho Detection airport security business.
  • Advised Material Handling Systems in its sale to Thomas H. Lee and The Kenrich Group in its sale to HKA, each private employee stock ownership plan (ESOP) sale transactions.
  • Advised CVC Capital Partners in leveraged buyout of Anchor Glass Container Corp.
