Biography

Stan is a partner practicing primarily in the areas of infrastructure projects and finance. He serves as counsel in a broad range of complex transactions with both sponsors and lenders on all aspects of energy and infrastructure projects' development, project financing, investments, joint ventures, operations, asset management, acquisitions, divestitures and corporate structuring. Stan has been trained as a lawyer under common law and civil law systems.

Practice Focus

Stan focuses on both domestic and international transactions involving renewable and conventional power projects as well as infrastructure projects. He regularly works with sponsors and lenders advising on all aspects of the client's business, including negotiating purchase and sale agreements, PPAs, O&M and asset management agreements, long term services agreements, EPC contracts, major equipment supply agreements, joint ventures, project financings, holdco and back-leverage financings, tax equity transactions, construction agreements, acquisitions and divestitures.

Stan's work also includes representing non-projects clients and financial institutions in structuring, documentation and administration of senior and mezzanine secured and unsecured loan facilities and the securitization of a variety of financial assets. Stan is also a Co-founder of the NA-CIS Initiative at the Firm.

Representative Legal Matters

  • Advised J-POWER USA on a greenfield 1,200 MW natural-gas-fired combined cycle facility to be located in Will County, Illinois from inception of the project development through financial close on matters relating to securing property rights, construction, procurement and operating contracts, power hedge, gas interconnection, energy management and fuel supply, project financing and corporate structuring.

  • Advised Hannon Armstrong, a sustainable infrastructure fund, in connection with financing and a series of acquisitions of residual tax equity interests and sponsor developer interests in wind farm portfolios representing over 1 GW in energy production capabilities in different regions of US, including ERCOT, PJM and ISO New England areas.

  • Advised Nebraska energy developer on structuring and implementation of preferred cash equity investment, tax equity investments and construction financing of three wind projects.

  • Advised J-POWER USA in USD 390 million holdco-level financing (term loan, working capital and fixed-rate note tranche) secured by nine US operating plants, including plants with existing project-level debt.

  • Ongoing representation of an owner and asset manager of 12 gas and oil power projects located throughout the United States on all matters relating to existing projects and development of new projects, including the development of RFP documents, negotiation of off-take and EPC contracts, asset management, corporate and project financing matters, and corporate structuring.

  • Advised a US manufacturer of mining equipment in connection with series of supply agreements to major potash mining company in Russia.

  • Advised a Russian energy developer and a regional utility company on procurement of the gas turbines from the major turbines manufacturer and related long term services agreement.

  • Advised a sponsor on investment due diligence of a 700MW CCGT facility development project in Indiana.

  • Advised J-POWER USA on the investment in a 926MW CCGT facility development project in Westmoreland, Pennsylvania.

  • Advised J-POWER USA on the acquisition of remaining 50% interests in 1,350MW natural gas-fired power generation facility in Elwood, Illinois.

  • Advised a solar energy developer on the global corporate and intercompany debt structuring for the development and construction of 200 MW in photovoltaic facilities as part of the first IPPs in South Africa.
