
Stanislav (Stan) L. Sirot
Biography
Stan is a seasoned transactional counsel with extensive experience advising sponsors, strategic investors, and financial institutions on the full lifecycle of energy and infrastructure projects. His practice spans development, project finance, tax equity and tax credit transfers, joint ventures, operations, asset management, acquisitions, divestitures, and corporate structuring. With a global legal background in both common law and civil law systems, Stan brings a practical, solutions-oriented approach to complex transactions.
He previously chaired the Firm’s Global Renewable Energy Industry Group and currently serves on the Global Project Finance Steering Committee.
Stan’s work also includes structuring and negotiating senior and mezzanine loan facilities - secured and unsecured - as well as advising on infrastructure financings and strategic investments outside the project finance space.
Practice Focus
Stan advises on domestic and international transactions across conventional and renewable energy, battery storage, hydrogen production and storage, and broader infrastructure. He regularly supports sponsors and strategic/financial investors on all aspects of their business, including: M&A and asset purchase agreements, project financings, joint ventures and tax equity and tax credit transfers transactions, holdco and back-leverage financings, portfolio-level acquisitions, divestitures and joint ventures, power purchase agreements (PPAs), O&M and asset management agreements and EPC and major equipment supply contracts.

Advised J-POWER USA in connection with the sale to Public Service Company of Oklahoma of J-POWER USA and John Hancock joint venture’s interests in the Green Country Energy Project, an approximately 795 MW combined-cycle power generation facility located in Jenks, Oklahoma for USD 730 million.

Advised J-POWER USA in all aspects of the of the development loan, acquisition, development and project finance of a 495 MWac solar photovoltaic energy project located in Refugio County, TX, implementing goal to transition from a conventional gas-fired power generation-centered business to a diversified business model focused on the development and operation of renewable energy alongside the conventional power business.

Advised a large privately-owned company in its tax equity investment in a portfolio of three utility-scale solar projects in PJM being developed by a leading US renewables developer.

Advising a publicly traded integrated health solutions company in connection with tax credits acquisition program from leading US renewables developers with a total target amount of USD 3 billion (increased from previously approved approximately 2 billion USD).

Advised Hannon Armstrong Sustainable Infrastructure Capital, Inc., a leading US publicly-traded climate solutions investor (HASI), in over USD 2.5 billion of investment in renewable energy wind, solar and battery storage projects, including tax equity partnerships and supporting back-leverage facilities, both on a project and portfolio basis.

Advising a leading US independent power producer in connection with its ongoing divestiture of its certain legacy natural gas powered facilities in the United States.

Advised leading US developer of standalone utility-scale battery energy storage projects in connection with negotiation and execution of a tax credits sale agreements with respect to tax credits generated by three projects in Texas, project financings and ITC bridge loan facilities.

Served as lead counsel with respect to the sale by Birchwood Power Partners (BPP) of 869-acres of land in Virginia and certain other assets to Amazon. Amazon is slated to occupy a proposed 7.5M SF data center campus in Virginia’s King George County which is anticipated to be the world's largest data center.

Advised Advanced Clean Energy Storage I, LLC, along with Mitsubishi Power Americas, Inc. and Magnum Development, LLC, the project’s sponsors, in the US Department of Energy’s USD 504.4 million loan guaranty from the US Department of Energy, the first loan guaranty issued by DOE in 12 years, to develop the world's largest industrial green hydrogen facility in central Utah with a first-of-a-kind project financeable equipment supply and LTSA contract.

Advised a Canadian life insurance company and its US subsidiary in the equity investment commitment of USD 300 million and recapitalization of the developer and operator of a commercial and industrial solar roof top project business, with almost 100MW of solar PV projects in the initial portfolio.

Advised J-POWER USA on a USD 1.5 billion, greenfield 1,200 MW natural-gas-fired combined cycle facility located in Will County, Illinois from inception of the project development through financial close on matters relating to securing property rights, construction, procurement and operating contracts, power hedge, gas interconnection, energy management and fuel supply, project financing and corporate structuring.

Advised a leading US independent power producer in connection with holdco-level financing (term loan, working capital and fixed-rate note tranche) secured by nine U.S. operating plants, including plants with existing project-level debt.

Advised a solar energy developer on the global corporate and intercompany debt structuring for the development and construction of 200 MW in photovoltaic facilities as part of the first IPPs in South Africa.
