Biography

Stuart Rubin is a New York-qualified partner in Baker McKenzie's London office and a member of the Capital Markets and Corporate Finance teams. Before joining Baker McKenzie, Stuart was the global head of the US securities practice of another international law firm where he was a partner for over 15 years. He also acted as global head of the India practice at his prior firm and led its Chamber's ranked India capital market practice. Stuart has practiced at leading international firms in New York, London and Hong Kong.

Practice Focus

Stuart focuses on cross-border equity capital markets transactions (including IPOs, rights offerings, ABBs and block trades), as well as the US securities aspects of public M&A and other corporate transactions. He acts for both issuers and investment banks across a broad range of sectors, including healthcare, technology, resources, real estate and financial institutions, and is experienced in transactions on most major stock exchanges across Europe and Asia Pacific.

  • Advised London-listed Aveva Group, a UK industrial technology company, on its GBP 2.8 billion rights issue to fund its acquisition of US data management software firm OSIsoft.
  • Advised the underwriters on the London IPO of the Foresight Group, an independent infrastructure and private equity investment manager.
  • Advised the underwriters on the London IPO of Auction Technology Group, a leading operator of online auction marketplaces and related technology.
  • Advised London-listed boohoo group (now Debenhams) on its equity placing.
  • Advised London and Australia-listed Adriatic Metals on various equity placings.
  • Advised London-listed Carr's Group on its share buy-back by way of tender offer.
  • Advised the dealer-manager on the share buy-back by way of tender offer of NASDAQ and London-listed PureTech Health.
  • Advised the placement agents on over GBP 2.9 billion in share placement by London-listed British American Tobacco in its India-listed associate companies ITC and ITC Hotels.
  • Advised the placement agent on USD 500 million in share placements by New York-listed Timken Group in its India-listed subsidiary.
  • Advised the placement agent on shares placements by German auto major ZF group in its India-listed subsidiary.
  • Advised the placement agent on share placements by New York-listed GE Vernova in its India-listed subsidiary.
  • Advised the placement agent on over USD 2 billion in share placements by Tata & Sons in India-listed Tata Communication Services, one of India's ten largest companies by market capitalization.
  • Advised the placement agent on over USD 2 billion in share sales in India-listed Adani group companies.
  • Advised the book running lead managers on the USD 850 million Indian IPO of Star Health and Allied Insurance, India's largest pure play health insurance company.
  • Advised the book running lead managers on the USD 3.4 billion Indian IPO of Coal India - the then largest ever Indian IPO.
