Biography
Cristina Rios is a corporate lawyer specialising in M&A and Private Equity in Spain. She has more than 12 years of experience and is considered a go-to expert for M&A and PE work, advising clients on high-profile, cross-border mandates with experience in US and APAC related deals. Her strong M&A and PE market knowledge includes acting as lead M&A counsel on multijurisdictional and cross-border buy-side and sell-side matters, guiding clients through every stage of the deal -from structuring and due diligence to drafting and negotiating acquisition agreements-. She also advises clients on ongoing corporate governance and general corporate matters, group reorganizations and carve-outs. - Agile: Advised Agile group -involved in delivering products and services that help customers to increase the effectiveness of their digital strategies and digital content- in its c. Eur 100 million acquisition of three companies in USA, LATAM and Spain.
- KKR/Kito Crosby: Cristina is the legal counsel of choice of the US multinational Kito Crosby (KKR portco) in all legal matters involving cross-border M&A deals in multiple jurisdictions. Cristina also acts as their relationship partner and has lead all Spanish M&A team together with the US lead team in multiple share deals including not only the US but also China, Hong Kong, France and LATAM.
- Chery Corporation: Cristina lead the negotiation of the multinational corporation's investment in Spain including the negotiation of specific tech-M&A contracts being also involved in coordinating other key workstreams such as antitrust and FDI clearances, IP and brand development, real estate, employment and environmental workstreams.
- Suma Capital PE Fund: Advise on the acquisition of a controlling stake in a holding company owning a tech-related business in Spain. The deal was structured as an auction share deal bid. The deal value was approximately Eur 8 millon with additional capital commitments for Eur 32 million.
- FedEX: Advised in all deal aspects and reorganization involving FedEx subsidiaries in Spain to integrate the operations of FedEx and TNT; including corporate; commercial; tax and labour-related advice.
