Biography
Tom Oslovar is a partner in the Firm's North America Transactional Group and is based in Palo Alto. He has more than a decade of experience counseling clients in a variety of US and cross-border transactions for a wide range of industries, including IoT, fintech, blockchain, AI, social media, cryptocurrency, open source software, big data, consumer devices, semiconductors, and robotics.
Practice Focus
Tom focuses his practice on mergers and acquisitions, strategic investments, and carve-out transactions. He also represents clients in structuring and negotiating technology licensing and acquisition agreements, joint venture and development agreements, and services and supply agreements.
Representative Legal Matters
Prior to joining Baker McKenzie, Tom advised on the following matters:
- A semiconductor technology development and production fab in the USD 140 million sale of its assets to a German multinational engineering and technology company
- Alaska Airlines in its definitive agreement to acquire Hawaiian Airlines for approximately USD 1.9 billion
- Crocus Technology, a developer of tunnel magneto-resistance sensor products, in its USD 420 million acquisition by Allegro MicroSystems
- INEOS in its definitive agreement to acquire LyondellBasell’s ethylene oxide and derivatives business for USD 700 million
- PowerSchool, a provider of cloud-based software for K-12 education, in its USD 300 million acquisition of SchoolMessenger from West Technology Group
- PW Consortium in its USD 1.84 billion merger with PureWest Energy
- Samsung Display in its USD 218 million acquisition of eMagin Corporation, a designer of OLED microdisplays for high-resolution, AR/VR, and other near-eye imaging products
- Textainer Group Holdings in its USD 7.4 billion acquisition by Stonepeak
- Broadcom in its USD 69 billion acquisition of VMware
- CJ ENM in its acquisition of a majority stake in Endeavor Content for USD 775 million
- Semtech in its USD 1.2 billion acquisition of Sierra Wireless
- SurePrep LLC, a provider of income tax automation software, in its USD 500 million acquisition by Thomson Reuters
- Targus in its acquisition by B. Riley Principal Investments
