Uzo Oforka
Biography
Uzo Oforka is an associate in Baker McKenzie’s London office and a member of the Corporate (Energy, Mining & Infrastructure) team. Uzo advises on complex cross-border transactions across the energy, mining and infrastructure sectors, with a particular focus on Africa and energy transition projects.
Uzo has experience advising international corporates, state-owned enterprises and investors on M&A, joint ventures and project development. Uzo’s work includes strategic investments in natural resources, renewables and infrastructure, including waste-to-energy and carbon markets. Uzo joined the Firm in March 2022 and has also spent time on secondment in the Firm’s Johannesburg office.
Practice Focus
Uzo focuses on corporate transactions in the energy, mining and infrastructure sectors, with a particular interest in African and energy transition assets. Uzo advises on mergers and acquisitions, joint ventures, project development and regulatory matters. Uzo has experience supporting clients through complex, multi-jurisdictional transactions involving mining assets, renewables, carbon credits and infrastructure development. Uzo's practice includes advising on strategic investments, divestments and restructurings across both developed and emerging markets.
Representative Legal Matters
- Advised ZCCM Investments Holdings Plc on the USD 1.1 billion investment by International Resources Holding RSC Limited into Mopani Copper Mines Plc, one of the largest mining investments in Zambia in recent years. The transaction involved complex structuring, regulatory approvals and multi-jurisdictional coordination.
- Advised ZCCM Investment Holdings Plc on the restructuring of its joint venture arrangements with First Quantum Minerals in respect of the Kansanshi Mine, Zambia, by way of conversion of its ordinary dividend rights into a life-of-mine royalty. Advised on the disposal by a European energy company of its upstream assets in Angola to a regional energy company for approximately USD 825 million.
- Advised Encyclis on the acquisition of a waste-to-energy and carbon capture facility in Dublin. The transaction involved complex project agreements and M&A structuring, including simultaneous upgrade works during the purchase process. The deal required coordination of multiple stakeholders and was successfully closed on schedule despite technical and financial complexity.
- Advised a consortium of industrial stakeholders on the feasibility of establishing the first privately owned gas aggregation platform in southern Africa. The engagement included legal support on corporate structuring, competition considerations, tax implications, regulatory compliance and governance design.
- Advised a global consumer goods company on a verified emission reductions agreement relating to regenerative agriculture practices. The transaction involved complex verification frameworks, carbon accounting mechanisms and compliance with international standards including the GHG Protocol and ISO 14064.
- Advised on an investment agreement between a philanthropic foundation and an international investor to support the development of a coral biodiversity credit mechanism. The transaction involved a phased investment structure, regulatory pathway development and allocation rights to biodiversity credits.
