Biography

Elisabeth Moseley focuses on complex, cross-border mergers and acquisitions and commercial contracts in the oil and gas, mining, chemicals, industrials and infrastructure sectors. She has extensive experience in advising on share and asset acquisitions and divestments, group reorganizations, corporate finance, private equity investments, concessions, production-sharing arrangements, joint ventures, joint operating agreements, supply, offtake, transportation, storage, drilling and other commercial contracts.

Practice Focus

Elisabeth acts for a diverse range of clients, including governments, national and international companies, juniors, start-ups, financial institutions, traders, suppliers, manufacturers and individuals. She has advised on mergers, acquisitions and joint ventures across the globe, with a particular focus on transactions in emerging markets.

Representative Legal Matters

  • Advised Praxair Inc. on its EUR 5 billion divestment (USD 5.85 billion) of the majority of its businesses in Europe to Taiyo Nippon Sanso Corporation and the USD 3.3 billion divestment of North American and South American assets by Praxair, Inc. and Linde AG to Messer and CVC Capital Partners Fund VII.
  • Advised Vale on the divestment of its aluminium business to Norsk Hydro for USD 4.9 billion.
  • Advised Petrobras on its divestment of interests in the BC-10 block, offshore Brazil for USD 1.5 billion.
  • Advised Shell on its divestment of interests in the Abo field, Nigeria for USD 750 million.
  • Advised Emirates National Oil Company (ENOC) on its GBP 1.2 billion recommended takeover offer for Dragon Oil Plc.
  • Advised Shell on the EUR 4.4 billion divestment of its polyolefins division Basell N.V.
  • Advised Tende Energy Plc on its acquisitions of energy assets in Tunisia, Nigeria and Angola.
  • Advised Sasol on its acquisition of an interest in the Beetaloo unconventional acreage, Northern Territory, Australia and its divestment of upstream oil and gas interests in South Africa.
  • Advised RWE on its production-sharing arrangements in the North Alexandria Deepwater block and the Western Mediterranean block, Egypt.
  • Advised New Age (African Global Energy) on its acquisition of an operated interest in the Etinde permit, Cameroon and divestments of upstream oil and gas assets in Ethiopia and South Africa.
  • Advised Macquarie on the acquisition of offshore electricity transmission assets in the UK.
  • Advised Equipo IVI RMA Global on the sale of its Middle Eastern business to Gulf Capital, the acquisition of Create Fertility and the sale of its global business to KKR.
  • Advised a UK energy company on its agreement to acquire an interest in the Ruvuma Field, Tanzania.
  • Advised an international energy company on its acquisition of interests in the Jubilee and TEN Fields, Ghana.
  • Advised a number of high-profile financial institutions, the International Federation of Red Cross and Red Crescent Societies, the Health and Finance Institute and the Eleanor Crook Foundation on the incorporation and governance structure of the Humanitarian Finance Forum.
