Lindsay A. Minnis
Biography
Lindsay Minnis is a partner at Baker McKenzie in the Employment and Compensation practice. Lindsay leads the New York Office's Compensation group. As part of her practice, Lindsay is a frequent speaker and commentator on global employment and compensation topics. Lindsay is also a former member of the Board of Directors of the Global Equity Organization.
Practice Focus
Lindsay focuses her practice on global equity compensation and other incentive and benefit programs. She advises both public and private multinational companies on program design, implementation and compliance issues, including tax considerations, securities filing and disclosure requirements, exchange control rules, labor law exposure, data privacy concerns and other legal issues involved with offering incentive programs in different jurisdictions. She also counsels clients on the effects of mergers, reorganizations, spin-offs, IPOs and other complex corporate transactions their benefit and incentive arrangements.
Representative Legal Matters
- Advised a NYSE-listed professional services firm on the implementation and compliance of an employee stock purchase program in 60+ countries.
- Advised a NASDAQ-listed industrial technology company on international equity compensation issues in 30+ jurisdictions in connection with the spin-off of a business unit.
- Advised on global equity plan matters in connection with the combination of a US-based technology company with a UK company, and the new company’s subsequent IPO.
- Advised a NYSE-listed media company regarding the assumption and conversion of employee equity awards in a merger.
- Advised a NASDAQ-listed company on the implementation and compliance of a new global deferred bonus program in 25+ jurisdictions, including advice on labor law, tax, and other considerations, as well as preparation of bonus plan documentation.
- Advised Bristol-Myers Squibb Company on its USD 74 billion acquisition of Celgene Corporation, specifically regarding the assumption of equity awards and the issuance of contingent value rights to employees in 40+ jurisdictions.
- Advised an S&P 500 specialty insurance company on tax and regulatory issues related to the adjustment of equity awards resulting from an extraordinary dividend distribution.
- Advised on the tax treatment of cross-border transferring employees and remote workers with respect to outstanding and new equity awards.
- Advised numerous late-stage private companies on the global rollout of public company equity plans, including employee stock purchase plans, and assisted with the design and review of plan documents and award agreements, preparation of tax summaries for employees, guidance on tax withholding and reporting obligations, and assistance with securities and other regulatory and tax filings.
- Advised several private companies on the global implementation and compliance of share repurchase programs and third-party tender offers for employee shareholders, including assistance with employee education.
