Biography

Daniel McGuiness is a special counsel in Baker McKenzie's Sydney office.

Practice Focus

Daniel has a diverse range of corporate experience in advising clients in relation to ECM, M&A, corporate reorganisations and general corporate matters. He has assisted both private and public companies across a range of industries, including in the financial institutions, healthcare and IT sectors. He has advised underwriters and issuers in ECM transactions, including initial public offerings, placements and entitlement offers. He has advised both buyers and sellers in cross border and domestic M&A transactions, and has experience practising in Australia and the United Kingdom.

Equity Capital Markets

  • Advised Home Consortium in relation to the AUD 300 million initial public offering of the HomeCo Daily Needs REIT.

  • Advised UBS AG, Australia Branch (UBS) and Macquarie Capital (Australia) Limited (Macquarie) as joint lead managers and underwriters in relation to the AUD 110 million initial public offering of Prospa Group Limited (market capitalisation of c. AUD 600 million).

  • Advised UBS and Moelis Australia Pty. Ltd. (Moelis) as joint lead managers and underwriters in relation to the AUD 276 million placement and accelerated non-renounceable entitlement offer by Centuria Metropolitan REIT.

  • Advised Moelis as sole lead manager and underwriter in relation to the AUD 100 million capital raising by Centuria Capital Group.

  • Advised Macquarie as sole lead manager and underwriter in relation to the AUD 100 million capital raising by RCR Tomlinson Limited.

  • Advised Moelis as lead manager and underwriter in relation to the AUD 35 million institutional placement by Centuria Property Funds No.2 Limited as responsible entity for the Centuria Industrial REIT.

  • Advised UBS and Moelis as joint lead managers and underwriters in relation to the AUD 78 million placement for Centuria Property Funds No.2 Limited as responsible entity for the Centuria Industrial REIT.

Mergers & Acquisitions

  • Advised Mitsubishi UFJ Trust and Banking Corporation in relation to its AUD 4.1 billion acquisition of Colonial First State Global Asset Management from the Commonwealth Bank of Australia.

  • Advised a large private equity sponsor in relation to the disposal of its Australian investment (over USD 200 million).

  • Advised Landis+Gyr in relation to its acquisition of AUD 267 million digital metering business from Origin Energy Limited.

Corporate Reorganisations

  • Advised a global engineering firm in relation to its Australian reorganisation.

  • Advised a major UK based pharmaceutical company in relation to the post-completion aspects of its strategic global joint venture.
