Biography

Nandi Maesela is an associate in Baker McKenzie's Corporate M&A Department in London. Nandi has worked on a number of cross-border and domestic acquisitions and restructurings and advises on a wide range of corporate transactions, with a particular focus on private M&A, private equity and general corporate advisory work.

Prior to joining Baker McKenzie, Nandi worked in the corporate department of one of South Africa's largest firms, considered one of the "Big Five" firms in South Africa with an M&A practice that is highly ranked in the African continent.

Nandi is also a member of Baker McKenzie's Consumer Goods & Retail Industry Group.

Representative Legal Matters

  • Advising Sika, a Swiss global construction chemicals group, on the successful EUR 5.3 billion acquisition of the Master Builder Construction Chemicals Group from Lone Star (the largest acquisition in Sika’s 113-year history), which included the carve-out and sale of the MBS business to Cinven.

  • Advising Puig, a global leader in the premium beauty and fashion sector, on its acquisition of a majority stake in Dr. Barbara Sturm, a premium and globally recognised skincare brand founded by Dr. Barbara Sturm.

  • Advising Emerson Electric on the sale of its Climate Technologies business to private equity funds managed by Blackstone, in a transaction that valued the business at USD 14 billion and included a carve-out in 44 countries.

  • Advising the Autajon Group, a French packaging and labelling giant and a leader in the European packaging industry, on its acquisition of Simply Cartons and Simply Luxe, two UK companies that offer packaging solutions for the cosmetics, health, beauty, luxury drinks, premium food and confectionary industries.

  • Advising Orfium, a Los-Angeles-based Music Tech company, on its acquisition of Soundmouse, a London-based media technology company that specialises in music cue sheet reporting and audio recognition services.

  • Advising S&P Global on its acquisition of the Shades and Green business from the Center for International Climate Research (CICERO), Norway's foremost institute for interdisciplinary climate research.

  • Advising Baker Hughes on the global carve-out and sale of its Nexus Controls business to General Electric.

  • Advising RVU on the sale of Rastreator and Preminen Price Comparison to Gruppo Mutuionline.

  • Advising PepsiCo Inc., one of the world's largest and leading multinational food and drink companies, in relation to its USD 1.7 billion all-cash offer to acquire the entire share capital of Pioneer Food Group, one of South Africa's largest producers and distributors of branded food and beverage products, by way of a scheme of arrangement - Deal of the Year in South Africa, Dealmakers South Africa Awards, 2019.*

  • Advising Imperial Logistics, a leading African focused provider of integrated market access and logistics solutions, in relation to DP World's acquisition of the entire share capital of Imperial by way of a scheme of arrangement.*

  • Advising Bruker South Africa on its merger with Hain Lifescience SA by way of a share acquisition and a subsequent business transfer as a distribution in specie.*

  • Advising AfriSam Mauritius Investment Holdings in relation to the sale of its shares in Tanga Cement PLC, a Tanzanian public company listed on the Dar es Salaam Stock Exchange to Scancem International DA.*

  • Advising Sasol, a global chemicals and energy company, in relation to the sale of its cyanide business for a consideration of R1,46 billion to a South African B-BBEE empowered subsidiary of Draslovka Holding, a Czech-based company specialising in cyanide production.*

  • Advising the AfriSam Group Companies in relation to a restructuring and debt-to-equity swap deal which has reduced the Group's debt by R6.5 billion.*

  • Advising Harmony Gold Mining in relation to a broad-based economic empowerment ownership transaction which involved the acquisition of all of AngloGold Ashanti’s South African assets, including the world’s deepest mine, valued at approximately USD 300 million.*

  • Advising Clarion Events in relation to its acquisition of Spintelligent's Smart International Energy business.*
