Biography

Hannah is private equity partner in Baker McKenzie's London office. Before Hannah joined Baker McKenzie in 2023 she was in the private equity team at Fried Frank for almost a decade, during which time she was seconded for seven months to Goldman Sachs AM Private as a senior lawyer advising deal teams across the Corporate Equity, Infrastructure, Growth Equity and Hybrid Capital sleeves. Hannah has been recognised by the Legal 500 UK for Private Equity Transactions - High Value Deals, where she is described as "smart, organised, responsive, and easy to work with through tough issues."

Practice Focus

Hannah focuses her practice on advising top tier sponsors, asset managers and investment banks as well as corporate clients on international crossborder private equity transactions. Hannah has advised clients across a broad spectrum of private equity mandates, from auction sales and leveraged buy outs, joint ventures, co-investments, minority investments and preferred equity investments to GP led secondaries, GP stakes deals and syndications.

  • Advised AEA Investors and its portfolio company Scan Global Logistics, on AEA’s sale of its majority shareholding to CVC Capital Partners Fund VIII, a transaction with an enterprise value of USD 1.67 billion.*
  • Advised AEA Investors on the platform acquisition of portfolio company Process Sensing Technologies, a specialist provider of industrial instruments and analysers for precision measurement of gas and humidity.*
  • Advised Goldman Sachs on
    • its structured investment in reusable container business Goodpack alongside majority investor KKR;*
    • its acquisition of a minority equity stake in Morrisons alongside Ares Management;*
    • its acquisition from ECI Partners of theClear Group, a chartered broker that arranges business and home insurance;*
    • in relation to the merger of smart metering company Calisen with
    • Equitix-owned MapleCo (as member of a consortium with BlackRock Alternatives and Mubadala Investment Company);* its acquisition of a majority stake in European specialty pharmaceutical company Norgine Europe B.V. from the Stein Family;*
    • its preferred minority investment in a provider of student housing in Europe;* and
    • its preferred minority investment in certain assets of a Nordic fund manager.*
  • Advised CVC Credit Partners in carve out and sale of US part of its direct lending business to Sound Point Capital Management.*
  • Advised CVC Capital Partners on its acquisition of the whole and subsequent reinvestment in, then sale of a stake in, Wireless Logic to Montagu Private Equity. Wireless Logic is a leading global Internet of Things (IoT) connectivity platform provider.*
  • Advised BlackRock on its joint venture with Temasek for an initial commitment of USD 600 million to form Decarbonisation Partners, a partnership aiming to launch series of late stage venture capital and early growth private equity investments which advance decarbonisation solutions.*
  • Advised Permira on its definitive agreement to take private Mimecast, a NASDAQ- listed company that specialises in email security and cyber resilience. The transaction valued Mimecast at USD 5.8 billion.*
  • Advised Alteri Investors, a specialist investor in European retail backed by funds of Apollo, on the acquisition of the Bensons for Beds business through a pre-packaged administration.*
  • Advised Hunter Point Capital, an investment firm providing capital solutions to asset managers, in its strategic minority investment in Coller Capital, an investment firm specialising in investments in the secondary market for private assets globally.*
  • Advised Bonaccord Capital Partners, an investment firm focussed on acquiring non-control equity interests in private market sponsors, in its strategic minority investment in Synova, an investment firm specialising in growth investments in European companies.*
  • Advised Jacobs Engineering Group in its strategic partnership with PA Consulting Group to acquire a 65% stake in PA Consulting.*
  • Advised Yellow Wood Partners, a Boston-based private equity firm focussed on investing in consumer brands and companies, in its definitive agreement to acquire the Scholl footcare brand from Reckitt Benckiser Group plc.*
  • Advised Francisco Partners on:
    • the sale of LiveU, a video streaming and remote production solutions provider to Carlyle;*
    • and a minority investment by Temasek in Francisco Partners portfolio company BluJay Solutions, a provider of supply chain software and services.*
