Biography

Arthur Kiureghian is an associate in the Firm's North America Employment & Compensation Practice and is based in the Los Angeles office. His practice emphasizes the areas of international equity plans, executive compensation and employee benefits.

Practice Focus

Arthur regularly advises public and private multinational companies in the implementation of their international equity compensation plans, dealing with issues such as securities law compliance, cross-border tax obligations, data privacy, exchange control and labor law compliance. He also frequently advises companies on the equity plan issues implicated in corporate transactions, including mergers, acquisitions, spin-offs, and going public/private transactions.

Representative Legal Matters

  • Advise numerous US and non-US public and private companies on their annual equity awards, including analyzing tax and regulatory requirements for such awards, preparation of grant documents and employee communications, and completion of tax and regulatory filings around the world.

  • Advised numerous US public and private multinationals on equity award considerations in connection with entering new jurisdictions using various employment and engagement structures (e.g., direct local employees, foreign employers, third-party agency employees and contractors).

  • Advised late-stage private companies on the rollout of public company equity plans, including employee stock purchase plans, in multiple jurisdictions and assisted with plan and award agreement review, employee tax summaries, securities and exchange control filings, and tax withholding and reporting for post-IPO transactions.

  • Advised various large US public companies on worldwide tax and regulatory implications for equity programs in significant corporate transactions, including assistance with regulatory filings and tax rulings with applicable non-US authorities.

  • Advised numerous corporations with going-private transactions, including advice on the global tax and regulatory treatment of existing equity awards per the terms of the merger agreement, new equity programs to be granted by the privately held partnership, and review of post-signing equity agreements.

  • Advised several companies on the international considerations when implementing a leave of absence policy for equity awards.
