Practice Focus
Teresa's primary focus is the documentation of derivatives and related credit support arrangements. She has expertise in derivatives related to the development and financing of data centers and renewable power projects, including loan-linked interest and cross-currency swaps and ISDA-based power purchase arrangements.
Teresa also has a broad range of transactional experience advising on a variety of derivatives asset classes, including interest rate, currency, commodity (including electricity) and credit derivatives transactions and environmental products transactions. She also advises generally on the ISDA Master Agreements and related credit support documentation, AFMA documentation, other industry standard templates (GMRA, GMSLA) and Australian netting legislation and derivatives regulation.
Representative Legal Matters
- Acted for a consortium of seven banks on interest rate and fx hedging related to a MYR 7.5 billion Murabaha Islamic financing and USD 1.7 billion offshore term loan facility syndicated financing for Singapore-based DayOne Data Centers.
- Acted for NTT DCR Singapore on interest rate hedging for financing for NTT DC REIT, a platform of data center assets.
- Acted for WiseTech Global (ASX:WTC), a leading developer and provider of software solutions to the logistics execution industry globally, on the negotiation and documentation of ISDA agreements in connection with its USD 3 billion (AUD 4.7 billion equivalent) debt financing supporting the acquisition of E2open Parent Holdings, Inc.
- Acted for Macquarie Asset Management on deal contingent fx derivatives related to the USD 16 billion sale of AirTrunk to a consortium led by Blackstone.
- Acted for a global leader in the development and management of solar energy projects on loan-linked hedging for solar energy project in Taiwan.
- Acted for Mars Australia on its 20-year power-purchase agreements with Total Eren.
- Acted for various clients on Proxy Revenue Swaps related to solar farm projects.
- Acted for Metka on a 10-year proxy generation swap with Coles.
- Advised Shell and ICG on three PPAs (using ISDA documentation) in respect of three pumped hydro and two wind generators, entered into in connection with Shell/ICG's successful bid for Meridian Australia's renewable energy assets and retail business, Powershop.
- Advised Providence on two PPAs (using ISDA documentation) with SmartestEnergy for output of over 30 small-scale solar farms.
- Acted for one of APAC’s largest private energy companies in acquisition of ACCUs under ISDA-based documentation to meet compliance obligations under Australia’s Safeguard Mechanism.
- Acted for Queensland Department of Environment and Science in relation to the Queensland Government's AUD 500 million Land Restoration Fund, which supports land-sector carbon projects and the delivery of ACCUs with additional environmental, socio-economic and First Nations co-benefits.
- Acted for Australian arm of international asset manager in negotiation of ISDA Master Agreements and related margin documentation, and GMSLA-based documentation, for hedging of exposures under a range of assets, and advising on regulatory reporting issues.
