Biography
Jorge is a partner in the Los Angeles office. He has considerable experience advising multinational corporations on a wide-range of cross-border business and commercial transactions and law issues. Apart from speaking English, Jorge is also fluent in Spanish.
Practice Focus
Jorge focuses his practice on cross-border M&A and joint venture transactions, global corporate reorganizations and restructuring projects (including carve-out sales and spin-off related separations), as well as cross-border commercial agreements. He also assists US and foreign companies in the expansion of international operations through branches, subsidiaries, and representative offices, as well as the maintenance and dissolution of such operations. On the commercial side, Jorge has particular expertise in international licensing, technical services, consulting, distribution, and commercial agency agreements. Jorge also has significant experience advising clients on international government tender processes and contracts, particularly in the oil and gas, pharmaceutical, and defense industries.

- Advised Western Digital in the spin off of its flash storage business (now known as SanDisk Corporation).
- Advised Johnson & Johnson in the separation and spin off of its consumer products (now known as Kenvue).
- Advised McAfee in the carve out of its enterprise software business (now known as Trellix).
- Advised Helen of Troy in the sale of its Latin American personal care business.
- Advised Becton Dickinson in the spin off of its diabetes care business (Embecta).
- Advised Whirlpool Corporation in the sell/carve out of its refrigeration compressor business (Embraco) to Nidec Corporation.
- Advised Ingersoll-Rand (now Trane Technologies) in the spin off of its industrial business.
- Advised Rhone Capital in the purchase (carve out sale) of Schlumberger’s fishing and tubulars business (now known as Wellbore Integrity Solutions).
- Advised Quest Diagnostics in its joint venture with Quintiles to operate a global clinical trials lab services business (the JV is known as Q² Solutions).
