Biography

Daniel De Deo is a corporate partner in Baker McKenzie’s Washington, DC office. He serves on the Firm’s Global Steering Committee for Climate Change and Carbon Markets, as well as the Firm’s North America Steering Committee for Cross-Border Transactions and Integrations.

Daniel began his career with the Firm as a summer associate in the Chicago office in 2008. He previously worked on secondment with Bank of America Merrill Lynch in London as legal counsel to their carbon trading desk.

Practice Focus

Daniel advises clients on a wide range of transactional matters, including domestic and cross-border mergers and acquisitions and global corporate reorganizations. He also advises on projects and transactions in the global carbon market and other regulatory and policy matters related to climate change and sustainable development.

Representative Legal Matters

Cross-Border M&A

  • Advised CommScope as international counsel on a series of carve-outs, including the sale of its Home Networks division to Vantiva SA in exchange for a 25% stake in the French public company, and the sale of its Outdoor Wireless Networks and Distributed Antenna Systems businesses to Amphenol Corporation for USD 2.1 billion.
  • Advised Cigna as international counsel on the divestiture of its personal accident, supplemental health and life insurance businesses in six Asia Pacific markets to Chubb for approximately USD 5.4 billion.
  • Advised Accel-KKR as international counsel on the EUR 380 million acquisition of Navis from Cargotec.
  • Advised ASV Global, LLC, a leading unmanned maritime surface vessel (USV) and autonomous vessel control systems company, on its acquisition by L3 Technologies.
  • Represented GCP Applied Technologies Inc. as international counsel on the USD 1.05 billion sale of its Darex division in 32 countries to Henkel GmbH.
  • Advised Baxter International Inc. on the international aspects of the spinoff of its bioscience business into a new NYSE-listed company, Baxalta Incorporated.

Climate Change and Carbon Markets

  • Regularly advise a major multinational food company on investments in greenhouse gas reduction projects across its supply chain.
  • Advised Rubicon Carbon on its framework agreement with Microsoft to facilitate the purchase of 18 million tonnes of high-quality carbon removal credits.
  • Advised Bad Carbon on an equity investment with Nexus Renewable Power, LLC valued at USD 100 million in the form of carbon credits generated under Bad Carbon’s Geologic Environmental Mineral Sequestration methodology.
