Biography

Sheng Chen is a registered foreign lawyer in Baker McKenzie's Hong Kong office and a member of the Firm's Capital Markets Practice Group.

Practice Focus

Sheng's practice focuses on capital markets, privatizations and corporate governance. He represents Chinese clients in a wide range of transactions, including initial public offerings in Hong Kong and the US global depository receipt offerings, privatizations and debt offerings.

Capital Markets — Swiss/London GDR

  • Represented Chengxin Lithium Co., Ltd. in its proposed GDR offering and listing on the SIX Swiss Exchange. Chengxin Lithium is principally engaged in the production and sales of new energy lithium battery materials, including lithium concentrate, lithium carbonate, lithium hydroxide, lithium chloride, and lithium metal.

  • Represented Angel Yeast Co., Ltd. in its proposed GDR offering and listing on the SIX Swiss Exchange. Angel Yeast is a leading global yeast and yeast extract manufacturer.

  • Represented Zhejiang Yongtai Technology Co., Ltd. in its proposed GDR offering and listing on the London Stock Exchange. Yongtai Technology is a China-based company principally engaged in the research, development, manufacture and distribution of fluoric fine chemical products.

  • Represented Beijing United Information Technology Co., Ltd. in its proposed GDR offering and listing on the SIX Swiss Exchange. Beijing United Information Technology is a leading industrial business-to-business (B2B) digital commerce platform in China.

Capital Markets — Equity (HK)

  • Represented the joint sponsors CICC and DBS in AustAsia Group Ltd.'s initial public offering and listing on the Hong Kong Stock Exchange. AustAsia is a leading dairy farm operator in China, providing premium raw milk to a diversified customer base of downstream dairy product manufacturers.

  • Represented Giant Biogene Holding Co., Ltd. in its initial public offering and listing on the Hong Kong Stock Exchange. The joint sponsors were Goldman Sachs and CICC. Giant Biogene is a leading professional skin treatment products and functional foods manufacturer in China.

  • Represented Zhejiang Leapmotor Technology Co., Ltd. in its USD 800 million initial public offering and listing on the Hong Kong Stock Exchange. The joint sponsors were J.P. Morgan, CICC, Citi and CCBI. Leapmotor Technology is a leading smart electric vehicle manufacturer in China.

  • Represented Dingdang Health Technology Group Ltd. in its USD 51 million initial public offering and listing on the Hong Kong Stock Exchange. The joint sponsors were CICC and CMBI. Dingdang Health Technology offers on-demand healthcare products and services, such as drug express, online medical consultation and chronic disease and healthcare management.

  • Represented Linmon Media Limited in its USD 54 million initial public offering and listing on the Hong Kong Stock Exchange. The joint sponsors were Morgan Stanley and CICC. Linmon Media is a leading drama series production and distribution company in China.

Capital Markets — Equity (US)

  • Represented Axiom Capital, as lead underwriter, in connection with the initial public offering of WoWo Limited, a leading life services e-commerce service provider in China, and its listing on the NASDAQ.

  • Represented Tudou Holdings Limited, a leading online video company in China, in connection with its initial public offering and listing on the NASDAQ. Lead underwriters included Credit Suisse and Deutsche Bank.

Capital Markets — Debt

  • Represented Beijing State-owned Assets Management Co., Ltd., a large state-owned investment company wholly owned by Beijing SASAC, in connection with its USD 1 billion dual tranche Regulation S notes offering managed by Citi and UBS and listing on the Hong Kong Stock Exchange.

  • Represented Rolta Americas LLC, a global IT solutions company with headquarter in India, in connection with its USD 300 million Regulation S/Rule144A senior notes offering managed by Barclays Capital and Citigroup and listing on the Singapore Stock Exchange.
