Biography

Alyona Bon is a counsel in the Corporate M&A Practice Group at the Kyiv office of Baker McKenzie, having more than 12 years of experience. Her practice focuses primarily on M&As and corporate law, advising clients on both cross-border and domestic private M&A transactions. Alyona has been involved in a wide range of projects across the IT, telecommunications, defense and agricultural sectors.

She earned her master's degree in commercial law from University College London in 2018. Alyona was admitted to the Ukrainian Bar in 2022 and qualified as a solicitor in England and Wales in 2024.

Practice Focus

Alyona advises prominent Ukrainian and international clients on acquisition projects involving jurisdictions and industries outside Ukraine, with a strong emphasis on the technology, media, telecommunications and industrial sectors, particularly in relation to agriculture.

Representative Legal Matters

  • Acted as lead legal counsel for MHP in its 92%+ share capital acquisition in Spanish Grupo UVESA, one of Spain’s major vertically integrated producers of poultry and pork
  • Advised Tencent Holdings Limited on investment relating to the following entities:
    • 4A Games, a Kyiv/Malta video game developer, including assistance with due diligence and drafting/negotiating the Subscription Agreement and Shareholders Agreement
    • A Ukrainian video game development studio, including assistance with due diligence and drafting/negotiating transaction documentation
  • Advised the second largest mobile operator in Ukraine, Vodafone, on the preparation and negotiation of its billing software contract and development of a system of contracts to support and extend this contract.
  • Advised the shareholders of PrJSC Ivano-Frankivskcement, a leader in the Ukrainian cement industry, on the potential sale of its business to NEQSOL Holding, an international group of companies operating in the oil and gas, telecommunications, hi-tech and construction industries. This transaction represents one of the largest investments in the Ukrainian cement industry.
  • Advised Remington Seeds in relation to a strategic agreement with MAIS to purchase its seed plant and farming operations in Ukraine.
  • Advised Greenyard, a global leader in the market of fresh and processed fruit and vegetables, flowers and plants, and logistics services for the supply of fresh products and growing media, on the acquisition of Mykogen, a leading manufacturer of modern mushroom-growing grounds. The value of the transaction was EUR 93 million.
  • Advised a leading manufacturer of unmanned aerial systems and vehicles on raising financing from a group of strategic investors and venture capital funds.
  • Advised leading Ukrainian pharmaceutical company on the acquisition of a Polish pharmaceutical company. The involvement included due diligence of the target, preparation of transactional documentation, assistance with negotiations and preparation for closing of the deal.
  • Advised the shareholders of Depositphotos, a stock photo content marketplace, on the sale of 100% of the shares in Depositphotos, including its subsidiary Crello, an online graphic design editor, to VistaPrint, a global printing, design and marketing service provider. The sale was completed for a total price of USD 85 million.
