Sarah Birrell
Biography
Sarah is a partner in the transactional team based in Melbourne, specialising in energy, resources and infrastructure matters.
Before joining Baker McKenzie, Sarah worked for six years leading an inhouse legal team in Santiago, Chile on the development of a gas-to-power project and on the acquisition of operating generation assets, and at a top-tier firm in Melbourne.

Sarah works with clients in the energy, oil and gas, mining, critical minerals and infrastructure sectors on mergers and acquisitions, joint ventures and other transactions.

- Acted for a client in relation to the sale of a minority stake in TransGrid in NSW, Australia. *
- Acted for a mining client in relation to its participation in the competitive bid process for the acquisition of Anglo American's metallurgical coal business in Queensland, Australia. *
- Acted for a mining client in relation to various contractual arrangements for its coal mines in NSW, Australia. *
- Advised New Zealand Superannuation Fund & Teachers Insurance and Annuity Association through its manager, Nuveen Infrastructure, on the sale of their stakes in ConnectEast, the operator of the EastLink toll road network, in Victoria, Australia. *
- Acted for Global Infrastructure Partners on the acquisition for USD 2 billion of an interest in Woodside’s Pluto LNG Train 2, in Western Australia. *
- Acted for Global Infrastructure Partners on the acquisition for USD 750 million of interests in TotalEnergies' infrastructure interests in the Gladstone LNG Project, in Queensland, Australia. *
- Assisted Viva Energy in relation to its proposed LNG import terminal project in Victoria, Australia. *
- Acted for various sell-side and buy-side clients in relation to potential transactions involving the divestment or acquisition of energy, infrastructure, resources and oil and gas assets in Australia and globally. *
- Assisted clients with the negotiation and implementation of joint venture agreements, joint operating agreements and security holder agreements. *
- Assisted clients with the negotiation and entry into gas sales agreements, LNG supply agreements (including trucked LNG supply), mine rehabilitation funding arrangements and farm-in and tailings storage agreements. *
- Assisted Andes Mining & Energy, Chile, as inhouse counsel, on the project-financed acquisition from AES Gener of gas / peaking power plants with a total capacity of 750MW, in Santiago, Chile. *
- Assisted Andes Mining & Energy, Chile, as inhouse counsel, on development of the joint project-financed GNL Penco – El Campesino gas-to-power project comprising an across-the-dock LNG import terminal and approximately 600MW combined cycle gas-fired power plant in Chile. *
