Biography
Tom Bernhardt is a senior associate in Baker McKenzie's Corporate group based in London.
As part of Baker McKenzie’s Global Cross Border Transactions and Integrations practice (ranked Tier 1 by Legal500 UK), Tom focuses on advising large multinational companies on complex cross-border transformations, including carve-outs, spin-offs, post-acquisition integrations, legal entity and debt rationalisations, cash repatriations, and internal supply chain and holding company reorganisations.
Representative Legal Matters
Since joining Baker McKenzie, Tom has advised on the following matters:
- Johnson & Johnson on the USD 47 billion global spin-off of its consumer health business across more than 35 countries.
- S&P Global Inc. on the USD 44 billion global merger with IHS Markit.
- Equinix, Inc. on a number of joint ventures for the development and operation of xScaleTM data centres with investment partners across EMEA, APAC and the Americas with a total value of USD 6+ billion.
- Multiple carve-out transactions for companies, particularly in healthcare and TMT sectors.
- Multiple post-acquisition integration projects for companies in various sectors.
- Multiple legal entity and internal debt rationalisation projects for companies in various sectors.
Before joining Baker McKenzie, Tom advised Honeywell International Inc. on the USD 4 billion spin-off of its home products business and the USD 2 billion spin-off of its distribution business across more than 30 countries.
